Hawaii · A guide for founders abroad

Forming an LLC in Hawaii from outside the United States.

Understand Hawaii's public management record, $51 formation baseline, annual filing quarter and separate GET obligations. The 2026 portal transition also makes older processing promises unsafe to rely on.

A service change to check first

Hawaii's 2026 portal transition changes what you can promise about timing.

A founder outside the US can generally own a Hawaii LLC, but should start from BREG's current service notice. It announces a transition beginning July 6, 2026 and says expedited handling is currently unavailable. An older fee schedule listing a paid expedite is not evidence that the service can be ordered today.

Use the agency's live portal link and check its status before submitting. The notice also warns of delays with alternative delivery routes. Build the launch around the approved filing, EIN, required tax licences and actual bank acceptance rather than an old one-day formation claim.

Hawaii may suit a business connected to the islands. Remote ownership alone does not create an operating licence, a visa or US work permission. If the venture already exists elsewhere, consider registration of that entity rather than automatically creating another company.

Read the management choice

Member-managed and manager-managed filings disclose different people.

LLC-1 asks for each initial member's name and address when the company is member-managed. For a manager-managed company, it asks for the initial managers and the number of initial members; listing those members' names and addresses is optional. Use the management arrangement you actually intend to operate.

The form also identifies organisers. Its instructions say business registration filings are open to public inspection. A professional organiser or agent does not make the rest of the record private, and a public manager list is not a complete internal ownership ledger.

Agree on voting, signing authority, contributions and distributions in the operating agreement. Keep identity documents and unnecessary private attachments out of public submissions; tax authorities and banks can separately require the full ownership chain.

Costs and worked example

What does a Hawaii LLC cost to form and keep?

All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.

Expedited handling is not offered as a selectable cost while BREG's current notice says it is unavailable. Future annual reports are excluded from formation.

  1. Prepare LLC-1 deliberately

File the articles, including the management and member-liability selections.

Review the current articles and instructions before entering the online equivalent. The form includes a member-liability election; do not choose personal responsibility for company debts accidentally or assume every box is administrative.

Name and durationUse an available permitted LLC name and choose at-will duration or the intended specified term.
Office and noticesProvide principal and mailing addresses accurately; the form has country fields. Arrange an eligible Hawaii agent and local street address.
People and managementIdentify organisers and the members/managers required by the chosen management arrangement.
Liability and signatureReview the member-liability selection and obtain at least one authorised organiser's certification/signature.
Payment and resultBudget $50 articles plus $1 archives charge, then retain the approved articles and official registration details.
LLC-1 is a domestic formation document. Ownership by someone abroad does not turn it into a foreign-company registration.
  2. Separate the local appointment

The principal office may be overseas; legal service still needs a Hawaii location.

LLC-1 provides country fields for principal-office and personal-role addresses. Its agent section requires a Hawaii business street address and an eligible resident individual, domestic entity or authorised foreign entity. The LLC cannot be its own registered agent.

Confirm acceptance, legal-notice forwarding abroad, contact updates and renewal costs before naming a provider. Permission to receive legal documents does not automatically make the agent's office your trading premises or an operating address acceptable to a bank.

  3. An annual filing within a quarter

Quarter-based deadlines do not mean filing four reports a year.

The report is annual, in the calendar quarter of the original registration, beginning in the following year. A company registered in October 2026 ordinarily files its first annual report in October–December 2027, by December 31. Do not substitute an anniversary-day deadline.

BREG's linked fee schedule lists $15. Its third-quarter 2026 notice advertised $12.50 online, before the July portal transition. This guide shows both publications and uses the $15 schedule amount for its comparison; verify the current portal charge instead of assuming the earlier online reduction still applies.

Annual report windows from the year after registration
Registration quarterRecurring filing window and last day
    January–MarchJanuary 1–March 31
    April–JuneApril 1–June 30
    July–SeptemberJuly 1–September 30
    October–DecemberOctober 1–December 31
  4. A public update, not a tax return

Keep the annual record current and recognise service invoices for what they are.

The report updates public business information rather than financial statements. Review the record and retain confirmation. The published BREG notice describes a $10 late charge per delinquent year; an overdue account may also need status and reinstatement review.

A commercial reminder can charge for optional filing assistance. Compare it with the agency's actual report fee before paying. Use the official account and your own calendar, especially when the founder and agent are in different time zones.

If the business ends, the agency identifies LLC-11 Articles of Termination as the company filing. Address remaining contracts, creditor obligations, tax returns and tax-licence cancellation separately rather than simply ignoring annual reports.

  5. Federal identity after formation

The BREG registration number is not your EIN or Hawaii tax ID.

Use the approved company details to apply to the IRS for a free EIN. Follow the current international SS-4 method that fits the applicant. If the responsible party has no SSN or ITIN and is ineligible for either, follow the line 7b foreign or N/A instruction.

A local agent's address does not by itself establish online EIN eligibility. Keep the IRS confirmation separate from BREG approval and any Hawaii tax account. Banks review country support, activity, actual operating address and owners independently; an EIN is not account approval.

  6. Gross receipts need their own review

Hawaii's GET is a tax on business activity, not simply a sales tax on the customer.

DOTAX explains that Hawaii uses General Excise Tax rather than a conventional sales tax. It generally concerns gross business income, so a low profit margin does not settle the liability. Activity, sourcing, exemptions and any county surcharge require review before quoting tax to a customer.

A GET licence is a separate DOTAX registration with a one-time $20 fee when required. Periodic G-45 returns and the annual G-49 reconciliation are distinct from BREG's annual business report. For a calendar-year GET filer, the stated annual reconciliation deadline is April 20 of the following year.

Federal classification, Hawaii-source income, employees and home-country taxation are additional questions. Do not infer that being abroad or having no physical shop exempts every online sale or service. Use the relevant current-year instructions and register the actual required tax types.

  7. Record the first owner transfer

Foreign-owner reporting can arise before the first profitable sale.

A foreign-owned US disregarded LLC with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Formation funding and distributions can be relevant. Failure to file a required return correctly and on time can trigger a $25,000 penalty; retain the transaction history from the start.

Other classifications need their own return analysis. FinCEN currently exempts US-created entities from CTA BOI reporting, including an overseas-owned Hawaii LLC. That does not remove IRS filings, state public disclosures or bank verification, and an existing non-US company registered here is a different case.

  8. Match Hawaii to the actual activity

Low registry costs are only one part of the decision.

Using the linked $15 report schedule, $51 formation plus four reports is $111 over the comparison period. If the published $12.50 online rate is available, the same four-report example is $101. Neither includes agent service, GET, income taxes, licences or professional work.

For Hawaii operations, another formation state may add qualification and a second maintenance calendar. For a company run abroad, assess the actual benefit, management disclosure and service availability. There is no sound basis to promise bank approval merely from the state name.

Questions

Questions about a Hawaii LLC from abroad.

If yours is not here, email us at hello@baseacross.com.

Can a founder abroad own a Hawaii LLC?

Generally, yes. Arrange an eligible Hawaii agent, accurate articles and ongoing compliance. Ownership does not itself provide US work permission, tax exemption or bank acceptance.

Is the Hawaii formation charge $50 or $51?

The articles fee is $50 and the archives preservation charge adds $1, making a $51 standard formation baseline before optional services.

Can I currently buy expedited Hawaii formation?

BREG's notice reviewed October 17, 2026 says expedited handling is unavailable during its portal transition. Check the live notice; an older schedule listing a $25 expedite does not confirm availability.

Are Hawaii LLC owners publicly listed?

Member-managed articles list initial members and addresses. Manager-managed articles list initial managers and the number of initial members, with member names optional. Organisers also appear, and business filings are open to inspection.

Do I file a Hawaii report every quarter?

No. It is an annual report filed during the registration-anniversary quarter, starting the following year. An October 2026 registration ordinarily first reports by December 31, 2027.

Is the annual report $12.50 or $15?

The linked schedule lists $15; BREG's third-quarter 2026 notice advertised $12.50 online before the portal transition. Verify the current portal charge. The comparison uses $15 and separately shows the earlier published online alternative.

Does the BREG annual report replace GET returns?

No. A required GET licence, periodic G-45 filings and annual G-49 reconciliation are separate DOTAX obligations based on activity. BREG formation and reporting do not pay those taxes.
