Formation privacy is only the first check

Oregon renewals require public member or manager information.

A founder abroad can generally own an ordinary Oregon LLC. Articles cost $100 and the annual renewal costs $100. The initial form makes the member and manager lists optional, but that is not a permanent promise to keep every owner or manager off the public record.

ORS 63.787 requires managers’ names and addresses for a manager-managed LLC, or at least one member’s name and address for a member-managed LLC. The SOS online instructions use a shorter at-least-one member/manager prompt; follow the structure-specific statutory requirement, not an assumption that every company can name only one manager. Required report details are public.

At formation, the articles require at least one individual who is a member, manager or authorised representative with direct knowledge of the business. An unrelated name selected solely to conceal the business does not fulfil that role. Organisers, addresses and signatures also remain part of the public filing.

Registration can start before a CAT return

Oregon has separate $750,000 and $1 million tests.

Oregon Corporate Activity Tax applies by commercial activity, not simply by having Corporation in a name. The agency distinguishes registration once Oregon commercial activity exceeds $750,000 from the return/payment rules for activity above $1 million.

The relevant measure is Oregon commercial activity under sourcing, exclusion and unitary-group rules. It is not automatically all worldwide revenue, and it is not net profit. A remote business can need review without an Oregon shop, while forming an LLC alone does not prove every receipt is Oregon activity.

Use the current return-year calculation and applicable subtraction rules before estimating a bill. CAT, ordinary income/excise tax, the partnership minimum tax and the $100 registry renewal are different obligations. Do not combine them into a single invented annual LLC tax.

What does an Oregon LLC cost to form and keep?

All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.

The $150 partnership minimum is conditional and is not imposed on every LLC in this calculator.

Optional initial owner fields do not remove the structure-specific renewal disclosure requirement.

  1. Prepare the local service and real office details

The agent address is not a generic virtual-mailbox field.

Use domestic articles when creating a new entity under Oregon law, even if all owners live abroad. Foreign qualification is for an existing entity formed in another jurisdiction. Check regulated professional activity and the actual management structure before choosing the ordinary filing.

Oregon requires a consenting eligible registered agent with an Oregon physical street address. The renewal instructions prohibit a PO box, commercial mail receiving agency, mail-forwarding business or virtual office as the agent’s address. The principal office and public mailing-notice address are separate fields with their own rules.

The articles identify organisers and the individual with direct knowledge and require proper execution. The current SOS instructions permit online registration or mailed forms and do not accept forms/payments by email. Save the approved articles and effective date, rather than treating a payment receipt as the entire company record.

    Oregon setup from abroad
    1. Name and scope

Check availability, LLC ending, regulated activity and member/manager structure.

    2. Agent and addresses

Arrange the qualifying local service address; supply actual principal-office and notice details.

    3. Article disclosures

Identify organisers and an eligible individual with direct knowledge; review optional member/manager entries.

    4. Filing

Submit the $100-base articles using the official route and retain acceptance.

    5. Private records

Document ownership, contributions, agreement and signing authority.

    6. After approval

Assess EIN/tax accounts and calendar the next anniversary renewal.

  2. Use the anniversary day, not just the month

An October 17, 2026 filing plans its first renewal for October 17, 2027.

The ordinary domestic LLC renewal is $100 each year on the anniversary of the original filing. For the October 17, 2026 example, plan October 17 renewals in 2027, 2028, 2029 and 2030.

Review the required management, agent, office and business details; ORS 63.787 says the report information must be current as of 30 days before the anniversary. Some changes require a separate amendment; the renewal instructions explain what can be updated within the report. Keep the accepted report and a monitored notice address.

The SOS warns about paid solicitations that resemble mandatory state invoices. The ordinary domestic report can be filed directly with the state for $100. A filing service may charge separately, and prolonged noncompliance can lead to administrative dissolution; a commercial invoice is not evidence that the official report was accepted.

  3. The $150 partnership minimum is conditional

Review Oregon business activity and OR-65 requirements.

A partnership-taxed LLC owes the $150 partnership minimum when it is doing business in Oregon and is required to file OR-65 under the published conditions. The agency describes Oregon-source income or an Oregon-resident partner in its filing analysis. Do not impose $150 universally on every overseas sole-owner LLC.

Doing business can include goods, offices, representatives or an economic presence using Oregon’s economy to produce income. Partnership and other pass-through entities with nonresident owners also review OR-19 owner-tax payments and OR-OC composite rules, including eligible exceptions.

A disregarded LLC or corporate tax election changes the return analysis. Corporate income/excise requirements, payroll and local licences/taxes can apply separately. Oregon has no general sales tax, but that does not excuse sales-tax duties for taxable business in other states or every specialised Oregon tax.

  4. Keep ownership evidence beyond the registry

A public representative does not prove the entire membership.

ORS 63.771 requires internal records including current/past member and manager details, governing documents, relevant contribution records and the stated three-year tax/financial records. Keep them at the office specified by the agreement or the statutory default. These private company records are distinct from the narrower public report; retain written signing authority too.

For an overseas principal office, use the actual office facts and the form’s address rules. Ask any service provider which local agent, mail-handling, record and renewal tasks it includes and what continues after year one.

Review operations in other US states and the owner’s home country. An Oregon filing does not remove foreign qualification or tax obligations where staff, stock, property or other business activity creates them.

  5. Apply to the IRS on the international route when needed

    The EIN itself is free.

Use SS-4 with the approved company name and actual responsible party. Where that person has no SSN or ITIN and is ineligible for either, follow the line 7b foreign or N/A instructions. An Oregon agent address does not by itself establish eligibility for the IRS online assistant.

Preserve the IRS notice with the approved articles and authority/ownership records. Banks assess supported countries, business activities and addresses independently. Oregon registration neither guarantees an account nor provides US immigration permission.

  6. Consider information returns before the first sale

Owner contributions can be reportable transactions.

A foreign-owned US disregarded LLC with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Capital contributions and distributions can qualify even before customer revenue. A required incomplete or missing Form 5472 can trigger an initial $25,000 penalty.

Assign bookkeeping, returns and extension responsibility early, and review other entity classifications separately. FinCEN currently exempts US-created entities from BOI reporting; that does not remove IRS returns, Oregon renewals or bank disclosures.

  7. The five-year registry base is $500

Keep conditional tax costs outside that subtotal.

At current ordinary domestic rates, $100 articles plus four $100 renewals gives $500 for October 2026–2030. Agent renewals, payment charges where applicable, conditional partnership/CAT/corporate taxes, local requirements and professional services are additional.

Oregon can fit actual Oregon business. A company formed elsewhere can still need Oregon authority and tax compliance, so formation-state comparisons should follow actual operations. If closing, complete the applicable dissolution/winding-up filings and final tax/account steps instead of abandoning renewals.

BaseAcross forms Wyoming and Delaware companies. Our alternative-state offer does not include Oregon formation, its annual renewal, registered-agent service or Oregon tax returns.

Questions

Questions about an Oregon LLC from abroad.

If yours is not here, email us at hello@baseacross.com.

Can I own an Oregon LLC while living outside the US?

Generally yes. A new Oregon-law company is domestic regardless of owner residence. It still needs an eligible Oregon registered agent/address, accurate public filings and applicable tax compliance.

Can Oregon LLC owners stay off every public filing?

No such promise is reliable. Initial member/manager entries are optional, but ORS 63.787 requires managers for a manager-managed LLC or at least one member for a member-managed LLC on the annual report. Formation also identifies an individual with direct knowledge, organisers and signers.

Can a virtual mailbox be the Oregon registered-agent address?

The SOS renewal instructions prohibit a PO box, commercial mail receiving agency, mail-forwarding business or virtual office as the agent address. Arrange an eligible agent and qualifying Oregon street address.

When is an Oregon LLC annual renewal due?

On the original filing anniversary at the current $100 domestic fee. An October 17, 2026 LLC plans its first renewal for October 17, 2027.

Does Oregon CAT registration wait until $1 million?

No. Oregon commercial activity exceeding $750,000 triggers registration review; above $1 million brings the applicable return/payment analysis. Sourcing, exclusions and unitary-group rules matter.

Does every Oregon LLC pay the $150 partnership minimum?

No. The partnership minimum depends on partnership classification, doing business in Oregon and OR-65 requirements. Sole-owner disregarded and corporate-taxed LLCs require their own analysis.

Is $500 a complete five-year Oregon budget?

It is the ordinary domestic registry base: $100 articles plus four $100 annual renewals. Agents, taxes, local requirements, payment charges and professional help remain separate.
