Nebraska · A guide for founders abroad
Forming an LLC in Nebraska from outside the United States.
Nebraska’s $100 online certificate is only the first filing. Budget for three-week publication, its separate proof submission, a designated local office and odd-year reports before forming from abroad.

Budget beyond the certificate
Nebraska formation needs newspaper publication and a separate proof filing.
A founder abroad can generally own an ordinary Nebraska LLC. The Certificate of Organization costs $100 online or $110 in office, but that is not the complete setup cost. Section 21-193 requires notice in a qualifying legal newspaper for three successive weeks and proof filed with the Secretary of State.
The SOS charges $25 online or $30 in office to file the affidavit/proof of publication. The newspaper sets its own advertising charge. A fully online registry route therefore starts at $125 before the newspaper, local services and tax work; do not advertise $100 as an all-in compliant setup.
Choose the paper near the designated office as the statute requires and confirm its legal-notice eligibility, approved wording, three insertion dates and who will submit proof. Remote founders should agree on responsibility for both publication and the later filing before commissioning an advertisement.
Odd-numbered years, not the formation anniversary
An October 2026 LLC plans its first report for April 1, 2027.
Nebraska LLC reports are biennial, in odd-numbered years. The published official online report instructions list $25 base plus a minimum $3 portal charge; the paper report is $30. The live report service was unavailable during this review, so verify the total when the next reporting window opens. Older $13 online figures should not be carried into a current budget.
The SOS distinguishes the April 1 due date from the June 16 delinquency date. Missing the filing by the delinquency date can lead to administrative dissolution or revocation. Calendar April 1, rather than treating the later enforcement point as the ordinary deadline.
For an October 2026 formation, plan reports in 2027, 2029 and 2031; all three fall inside its first five years. Confirm the record and current-year instructions when the report window opens. Professional and series companies can have additional requirements.
Costs and worked example
What does a Nebraska LLC cost to form and keep?
All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.
Proof is a required later setup filing, not included in the initial certificate fee. Its own online/paper channel can be selected independently.
The newspaper charge remains required and unpriced; a registry subtotal is not an all-in compliant formation price.

The certificate requires Nebraska local arrangements
Prepare the designated office and agent before signing.
The current ordinary form separates the initial designated office from the agent for service of process. Both have Nebraska street-address fields, with separate mailing fields. An overseas home address does not fill either required local street field.
A new Nebraska company is domestic regardless of the owner’s citizenship. An existing company formed elsewhere reviews the foreign authority route instead; do not select that route solely because the founder lives abroad.
Nebraska filing sequence from abroad Name and local arrangements
Check the LLC name and arrange the designated Nebraska office and eligible consenting agent.
Certificate
Enter the street and mailing details, effective date if needed, and organiser signature and printed name.
Submit
Use the current SOS filing route and save approved documents and the business identifier.
Publish
Arrange three successive weekly insertions in a qualifying legal newspaper near the designated office.
File proof
Obtain the affidavit and confirm the separate SOS proof filing has been accepted. Calendar the next odd-year report.
A dated change in the filing route
Nebraska plans a new system for December 7, 2026.
As checked October 17, the SOS forms page still directs eligible filings to eDelivery and asks for a signed PDF upload. Its transition page announces December 7, 2026 for the new Online Business Filing System at business.nebraska.gov.
Use the official forms and transition pages for the date you actually file. Do not treat the future system as already live or rely indefinitely on an old transaction bookmark. Save submitted files, acceptance messages and access details independently of a service provider.
A portal launch can change the submission workflow without changing every statutory fee. Confirm the live instructions and any applicable payment charge instead of assuming a screenshot from before the transition is a current checkout quote.
Organisers, offices and published notices are visible
Limited owner listing does not make the Nebraska record anonymous.
The ordinary certificate identifies the organiser and local agent/office; it does not ask for a complete member or manager list. The reviewed ordinary biennial form concerns the company, agent, designated office and principal office, with an authorised signature. The current section 4-211 also requires the biennial report attestation described below.
The principal office is the actual principal executive office wherever located, according to the report instructions. It should not be replaced with a service address merely because the founder is abroad. Publication creates another public record of the required notice information.
Keep the operating agreement, ownership ledger, contributions and signing authority privately organised. A formation organiser is not necessarily the owner, and a sparse public ownership record does not exempt the business from bank or tax disclosures.
A registry report is not Form 1065N
Review Nebraska-source activity and nonresident partner arrangements.
Nebraska tax duties follow classification and activity. A partnership-taxed LLC should review Form 1065N and its owner schedules; a disregarded sole-owner LLC or corporation-taxed business requires a different analysis.
The published 2025 partnership instructions address withholding for relevant nonresident individual partners who do not complete Form 12N, with exceptions including the applicable PTET treatment. A consent agreement is a compliance choice with conditions, not an automatic exemption for everyone living abroad.
Use the actual return-year rules, Nebraska income sourcing, payroll and sales/use tax facts. The guide’s registry subtotal excludes tax and return-preparation costs; foreign ownership alone does not establish that no Nebraska or US return is due.
The international application is a federal task
Apply for the free EIN using the actual responsible party.
Use the approved company name and SS-4 instructions. Where the responsible party has no SSN or ITIN and is ineligible for either, line 7b explains the foreign or N/A entry. A Nebraska service address alone does not establish eligibility for the online EIN assistant.
Preserve the IRS notice with the approved certificate and ownership records. Check a banking provider’s country, activity and address requirements separately; formation and publication do not guarantee an account or immigration benefits.
Keep records before the first sale
A foreign-owned disregarded LLC can need Form 5472 after owner funding.
A foreign-owned US disregarded entity with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Contributions and distributions can qualify. The initial failure-to-file penalty for a required complete form is $25,000.
Assign bookkeeping, return and extension responsibility when setting up the company. Multiple members or a corporate election change the analysis. FinCEN currently exempts US-created entities from BOI reporting; that does not cancel IRS filings, Nebraska records or bank checks.
Review the declaration before signing
Nebraska adds a Foreign Adversary and Terrorist Agent Registration Act attestation.
Section 4-211, enacted in 2025, requires businesses and nonprofit organisations operating within Nebraska to attest that they are aware of and comply with the Foreign Adversary and Terrorist Agent Registration Act. For domestic and foreign LLCs, that attestation belongs in the odd-year biennial report.
Review the current declaration and the underlying requirements before signing. The existence of this attestation is not itself a statement that every overseas founder is prohibited or must register as an agent. A business with potentially covered relationships should obtain an assessment of its actual facts.
The older reinstatement report PDF predates this requirement. Use it to understand the office fields and separate report/restoration charges, not as proof that every current declaration is shown there.
Include proof and publication in the decision
The online five-year registry benchmark is $175 to $200 before newspaper charges.
At current rates, $100 certificate + $25 proof filing + two $25 reports is $175, for an LLC formed by 1 April or in an odd year. One formed after 1 April in an even year, such as October 2026, has three reports inside five years: $200. The comparable in-office/paper fees are $110 + $30 + two $30 reports, or $200, and $230 with three. Newspaper, office/agent service, payment charges and taxes remain separate.
When ending the company, use the applicable dissolution and winding-up procedure and review notice/publication obligations under section 21-193. Finish final state/federal returns and applicable tax accounts rather than simply cancelling the agent.
Nebraska can fit actual local operations; forming elsewhere can still require authority and taxes for Nebraska activity. BaseAcross forms Wyoming and Delaware companies. Our alternative-state offer does not include Nebraska formation, newspaper publication or proof/report filings.
Questions
Questions about a Nebraska LLC from abroad.
If yours is not here, email us at hello@baseacross.com.
Can I form a Nebraska LLC while living abroad?
Generally yes. The ordinary form still needs a designated Nebraska street office and an eligible local agent. Publication, proof filing, biennial reports and applicable state/federal tax work remain necessary.
Is $100 the complete Nebraska LLC setup cost?
No. The online certificate is $100 and online proof of publication is another $25, plus the newspaper’s charge. In-office certificate and proof fees are $110 and $30. Agent, office and tax support are separate.
How long must a Nebraska LLC notice be published?
Section 21-193 requires three successive weeks in a legal newspaper of general circulation near the designated office. Obtain proof and confirm it is filed with the SOS; paying the newspaper alone does not complete the state filing.
Does the Nebraska online biennial report still cost $13?
Published official instructions list $25 online base plus a minimum $3 portal charge; paper is $30. The live service was unavailable during this review. Confirm the next filing window and new system rather than relying on an older $13 quote.
When does an October 2026 Nebraska LLC first report?
Plan its first report for April 1, 2027, then April 1 in subsequent odd-numbered years. June 16 is the published delinquency date, not the ordinary due date.
Which Nebraska filing portal should I use in late 2026?
The SOS announces a new system for December 7, 2026. Before that transition, follow current eDelivery instructions; use the official transition page to confirm the route on the actual filing date.
Are all Nebraska LLC owners listed publicly?
The ordinary certificate does not require a complete owner list, but it identifies the organiser and local agent/office. The biennial filing and newspaper notice disclose other required details; banks and tax authorities can require ownership records.
Does BaseAcross arrange Nebraska publication?
BaseAcross forms Wyoming and Delaware companies. The educational Nebraska guide explains the official route; its alternative-state offer does not include Nebraska filing or newspaper publication.
