Nevada · A guide for founders abroad

Forming an LLC in Nevada from outside the United States.

Nevada’s ordinary setup combines articles, an initial list and a state business licence. Understand the $425 base, $350 annual renewal, public management fields and ORION filing route before choosing it from abroad.

Price the complete ordinary filing

Nevada’s nonexempt formation base is $425, not just $75 articles.

A founder abroad can generally own a Nevada LLC. An ordinary nonexempt domestic formation combines $75 Articles of Organization, a $150 initial list and a $200 state business licence: $425 before payment processing, agent service or professional help.

The initial list is due with the articles under NRS 86.263. Do not follow older instructions giving a new ordinary company an extra month to supply it. Licence exemptions have specific eligibility and claim rules; living abroad alone is not an assumed exemption in this budget.

A state licence does not automatically supply a city/county licence, professional permission, sales tax registration or permission to operate in another state. Confirm the actual activity and local requirements before trading.

List and licence recur together

An October 2026 LLC normally renews by October 31, 2027.

For the ordinary anniversary schedule, the annual list is due by the last day of the formation anniversary month, beginning the following year. Budget $150 for the list and $200 for the state licence renewal: $350 base each year.

The ordinary October 2026 example therefore renews by October 31, 2027, not April 15 and not exactly twelve months after its filing day. A company with an approved alternative statutory due date must follow that record instead.

Check the record before renewal, retain confirmation and maintain an independent reminder. Late/default/reinstatement charges are additional; ignoring an unwanted company is not the same as voluntarily winding it up and closing tax accounts.

What does a Nevada LLC cost to form and keep?

All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.

  1. Prepare the articles and initial list together

Management choice determines who must be identified.

Select ordinary domestic formation for a company created under Nevada law. A non-US founder does not make the new entity a foreign LLC. An existing entity formed elsewhere instead reviews Nevada registration for its actual Nevada business.

    Nevada domestic LLC setup
    1. Name and structure

Check an available compliant name and any regulated/professional restrictions.

    2. Agent

Arrange an eligible consenting Nevada registered agent and registered office.

    3. Management and organisers

Choose the actual management structure and supply the required initial managers or managing members and organiser details.

    4. List and licence

Complete the initial list and applicable business-licence application or a substantiated exemption claim.

    5. Payment and records

Confirm current ORION instructions, actual payment total and acceptance; retain the approved filings and private ownership records.

  2. Use the current state route

Nevada now directs business services to ORION.

The SOS home page identifies ORION as its new business licensing portal. Its online-services page routes commercial recordings and state business licences to orion.nv.gov. Begin with those official pages rather than assuming an old SilverFlume bookmark is still the correct transaction.

Prepare a monitored account email and keep control of filing access when a provider assists. A new portal can change login and payment screens without changing the underlying requirement to file accurate articles, a list and a licence.

This review could not independently complete the current public checkout. Payment processing remains an unpriced selected item. Commercial totals such as $436 are not treated here as a verified universal charge or rounded into a purported statutory fee.

  3. An agent does not erase the list

Nevada publicly identifies managers or managing members.

The articles identify the initial persons required by the management structure. The initial and annual lists require the names and titles of all managers, or all managing members if there is no manager, and a residence or business address for each.

That is different from requiring every passive investor on the annual list, but it is also different from anonymous ownership. A manager-managed structure must reflect actual authority, with truthful bank and tax disclosures.

Keep a written operating agreement, ownership ledger and evidence of contributions, authority and distributions. Do not infer who owns the business solely from a list of managers, and do not promise a paid agent can substitute its details for every required management field.

  4. Public lists are not the whole recordkeeping duty

Plan where the full member and manager records are kept.

NRS 86.241 addresses company records, including a current member and manager list, articles and other prescribed records, at the in-state principal office or with a custodian under the statutory arrangement and applicable agreement provisions.

Section 86.246 requires custodian contact information to be supplied to the SOS when different from the registered agent, and changes notified within ten days. That contact information is treated confidentially by the statute; it is distinct from the public annual list.

Agree on access, retention and response responsibility before relying on an overseas folder or a bare agent subscription. The statute also provides for assistance with lawful investigations. Limited public investor listing is not permission to keep no ownership records.

  5. No state income tax is not no state tax

Commerce Tax uses Nevada gross revenue, not profit.

Nevada’s Commerce Tax guidance sets a $4,000,000 Nevada gross-revenue threshold. Since the 2018–2019 tax year, businesses at or below that amount have no Commerce Tax return requirement under the published FAQ; covered businesses above it review the applicable industry category and deductions.

The Commerce Tax year runs July 1–June 30. A calendar-year federal return does not establish the state tax period. Revenue is not the same as profit, and the threshold is not a worldwide-income exemption for an overseas owner.

Sales/use tax, payroll-related Modified Business Tax and local licences can apply independently. Review actual Nevada sales, employees, physical/economic presence and owner-country taxation instead of treating a no-income-tax label as a complete tax plan.

  6. Separate federal identity from bank approval

The EIN is free, and the bank makes its own eligibility decision.

Apply using the approved legal identity and actual responsible party. SS-4 line 7b provides the foreign or N/A instruction if that person has no SSN or ITIN and is ineligible to obtain one. Confirm the international route; a Nevada agent address alone does not qualify an overseas business for the online assistant.

Retain the IRS confirmation with the approved articles, initial list and operating agreement. Check the banking provider’s country, business activity and address requirements before committing funds. Neither Nevada formation nor the state business licence grants immigration status or work permission.

  7. Assign the federal work at formation

Owner funding can be reportable even with no trading revenue.

A foreign-owned US disregarded entity with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Contributions and distributions can qualify, with an initial $25,000 penalty for failing to file a required complete return.

Record related-party transfers and reimbursements from the first transaction. Multi-owner or corporate-taxed structures need a different filing analysis. FinCEN currently exempts US-created entities from BOI reporting; IRS filings, state lists and bank ownership checks remain separate.

  8. Count the licence as well as the list

Five years at ordinary base rates is $1,825 before support and taxes.

$425 at formation plus four $350 annual renewals is $1,825. This assumes an ordinary nonexempt LLC, timely filings and unchanged base fees. Payment processing, agents, professional work, taxes and local licences are outside that registry/licence benchmark.

If the company ends, complete its winding up, applicable dissolution filing, final tax returns and tax-account closures. Outstanding lists and default issues require review; do not rely on an annual-list lapse to cleanly end every obligation.

Nevada may fit real local operations or another concrete business need. Forming elsewhere does not remove Nevada registration or tax duties created by activity there. BaseAcross forms Wyoming and Delaware companies; our alternative-state offer does not form or renew Nevada LLCs.

Questions

Questions about a Nevada LLC from abroad.

If yours is not here, email us at hello@baseacross.com.

Can a non-US resident own a Nevada LLC?

Generally yes. Arrange a qualifying Nevada agent and office, accurate public filings and the applicable licence, records and state/federal tax work. A foreign owner does not make a newly created Nevada LLC a foreign-qualified entity.

Does a Nevada LLC cost $75 or $425 to form?

An ordinary nonexempt formation has $75 articles, a $150 initial list and a $200 state business licence: $425 base. Applicable payment charges and commercial services are extra.

Can I submit the Nevada initial list a month later?

The current ordinary rule in NRS 86.263 requires the initial list with the articles. Do not rely on older delayed-initial-list instructions. Specific approved alternative arrangements require separate review.

When does an October 2026 Nevada LLC renew?

Normally by October 31, 2027, then the last day of that month annually, unless an approved alternative due date applies. The ordinary annual list and licence total $350 base.

Is a Nevada LLC anonymous?

No. Articles and initial/annual lists expose required management information. Lists identify all managers or, where there is no manager, all managing members, with addresses. Banks and tax authorities can require actual investor ownership records.

Does no Nevada income tax mean no tax returns?

No. Commerce Tax depends on Nevada gross revenue, with a $4 million filing threshold under current guidance. Sales/use tax, payroll taxes and federal/owner duties can apply independently.

Should I still use SilverFlume for Nevada formation?

Begin with the current SOS instructions. The SOS now directs commercial recordings and state business licences to ORION at orion.nv.gov. Confirm the live route and payment charge rather than relying on an old bookmark.

Does BaseAcross form Nevada companies?
