Pennsylvania · A guide for founders abroad
Forming an LLC in Pennsylvania from outside the United States.
Pennsylvania’s $7 annual report now replaces the old decennial company report. Plan the September deadline, public governor disclosure and 2027 enforcement alongside the $125 certificate and local registered-office arrangements.

The old decennial company report has ended
Ordinary Pennsylvania LLCs now file a $7 annual report.
A founder abroad can generally own an ordinary Pennsylvania LLC. The Certificate of Organization costs $125. Annual reports began in 2025 and replaced the former decennial company-report system; an old ten-year reminder is not an adequate compliance calendar.
For an ordinary for-profit LLC, the annual report costs $7 and can be filed January 1 through September 30, beginning the calendar year after formation. An October 2026 company plans its first report by September 30, 2027, not in October 2027.
The new enforcement phase matters to that first report: DOS states that reports due in 2027 onward can lead to administrative dissolution six months after the applicable due date if not filed. The 2025–2026 transition is not a permanent exemption or a reason to postpone the 2027 report.
A low fee still comes with public disclosures
Identify at least one real governor and any principal officers.
The report requires the name of at least one governor, names/titles of principal officers if any, and company, jurisdiction, registered-office, principal-office and entity-number information. The report is publicly available.
For a manager-managed LLC, the relevant governor is a manager. For a member-managed LLC it is a member with material management responsibility. It is not necessarily every passive investor, and a person’s appearance on an annual report does not by itself prove authority to sign a particular contract.
Keep the operating agreement, management arrangements and written transaction authority available. DOS explicitly warns against relying on the report alone to establish authority; choose the disclosed role from actual responsibilities rather than a label purchased for privacy.
Costs and worked example
What does a Pennsylvania LLC cost to form and keep?
All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.
The Annual Report does not replace the separate professional/partnership CAR.
A Revenue account closure is not DOS termination. Keep both records consistent when winding up.

Pennsylvania uses a registered office or CROP
Prepare the certificate and accompanying filing information.
A new company under Pennsylvania law uses domestic formation, even if its owners are abroad. An existing company created elsewhere reviews foreign registration. Ordinary formation uses the $125 Certificate of Organization, DSCB:15-8821, with the required docketing information under current instructions.
The registered office must be a Pennsylvania street address, or the company may use a Commercial Registered Office Provider (CROP) as permitted. A PO box alone is not the registered office. Understand who receives legal process and official correspondence and how it reaches the founder abroad.
The certificate identifies organisers and the appropriate company details; restricted professional or benefit-company choices require their own review. Use current Business Filing Services rather than assuming the older URL printed on a saved PDF is the current portal. Retain the accepted certificate, entity number and effective date.

First annual report
For an October 2026 formation, file by September 30, 2027 and keep the accepted report.
Keep control of the report even when a CROP helps
Failure to receive a reminder does not remove the obligation.
DOS sends postcard reminders to registered street offices, but provides CROPs with electronic lists of the entities represented rather than individual postcards. Ask the CROP who files the report, who sends the reminder and whether its price includes the $7 fee.
The initial annual-report filing does not require PIN access in the current BFS workflow. A later annual-report update requires the applicable access process. DOS allows a free update after filing through the end of that calendar year, which is different from filing a second annual report.
Keep the record current and an independent September reminder. Save the accepted form and acknowledgement from the work queue. A provider’s renewal invoice, a tax return or an email reminder is not the annual report itself.
The $7 report does not replace every registration
Restricted professional companies have another annual filing.
DOS distinguishes the general Annual Report from the Certificate of Annual Registration (CAR). Domestic and foreign restricted professional companies and the relevant partnership categories continue to have CAR duties in addition to the general report.
CAR is due by April 15 under the stated applicable rules. It is not the ordinary $7 September report and should not be silently bundled into a generic ordinary-LLC budget. Confirm professional eligibility, licensing and the current per-person registration charge before forming that type of business.
This guide’s $153 to $160 five-year example is for an ordinary for-profit domestic LLC. It does not quote a full professional-company cost or assume the ordinary entity can deliver every regulated service.
Separate entity information returns and owner payments
Pennsylvania-source income can require nonresident withholding.
A partnership-taxed LLC reviews PA-20S/PA-65 and owner schedules. Relevant Pennsylvania-source income passed to nonresident owners can require entity payments; estimated withholding is required when the aggregate can reasonably be expected to exceed $500 under the published rules.
Eligible owners may review the PA-40 NRC consolidated return, while corporate partners require their own PA-65 Corp and compliance-affidavit analysis. Do not use a corporate partner affidavit as an automatic exemption for an overseas individual.
A sole-owner disregarded or corporation-taxed LLC needs the appropriate classification-specific analysis. Review actual Pennsylvania sourcing, owner returns, sales/use tax, payroll and local obligations; the $7 annual report neither settles taxes nor establishes that foreign residence eliminates them.
The federal ID follows its own application rules
An EIN is free directly from the IRS.
Use SS-4 with the approved legal name and actual responsible party. Where that person has no SSN or ITIN and is ineligible for either, the line 7b instructions explain the foreign or N/A entry. Access to Pennsylvania BFS does not establish IRS online eligibility.
Keep the EIN notice, certificate, membership ledger and agreement/authority evidence for banking. Providers independently assess supported countries, activity and documentation. A governor name in the annual report does not guarantee bank approval or replace an account-opening resolution.
Track the first funding from abroad
Information returns can apply without customer revenue.
A foreign-owned US disregarded entity with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Owner contributions and distributions can qualify. A required missing or incomplete Form 5472 can trigger an initial $25,000 penalty.
Assign recordkeeping, returns and extensions before the first transfer; other ownership/classification arrangements need different federal analysis. FinCEN currently exempts US-created entities from BOI reporting, which does not cancel Pennsylvania’s annual report, IRS returns or bank checks. Formation grants no US immigration permission.
The ordinary five-year registry base is $153 to $160
Closing tax accounts does not automatically close the DOS record.
For an LLC formed by 30 September, $125 certificate plus four $7 annual reports equals $153 at current rates. One formed after 30 September, such as October 2026, has five reports inside five years: $160. Add CROP/office services, payment charges where applicable, tax and professional work and any specialist CAR obligation.
The Revenue and DOS records are separate. Filing an out-of-existence affidavit with Revenue does not automatically terminate the LLC at DOS. Follow the company’s winding-up/termination and final tax procedures; active DOS records can continue to require annual reports.
Pennsylvania can fit local operations, and forming elsewhere does not remove applicable Pennsylvania registration or tax duties. BaseAcross forms Wyoming and Delaware companies. Our alternative-state offer does not include Pennsylvania certificates, annual reports, CROP services or tax returns.
Questions
Questions about a Pennsylvania LLC from abroad.
If yours is not here, email us at hello@baseacross.com.
Can I form a Pennsylvania LLC while living abroad?
Generally yes. A new Pennsylvania-law entity is domestic regardless of owner residence. Arrange a qualifying Pennsylvania registered office or CROP and assess licensing, reporting and tax duties.
Is Pennsylvania still a decennial-report state for LLCs?
The general annual company report began in 2025 and replaced the old decennial company-report system. Ordinary for-profit LLC reports cost $7 and are due by September 30 beginning the year after formation.
When does an October 2026 Pennsylvania LLC first report?
By September 30, 2027. The new enforcement phase applies to reports due in 2027 onward; failure to file can lead to administrative dissolution six months after the due date.
Whose name appears on the Pennsylvania annual report?
At least one governor, plus principal officers’ names and titles if any. A governor is a manager or a member with relevant management responsibility, depending on structure. This is not necessarily a full passive-owner list.
Does a CROP automatically file the Pennsylvania report?
No assumption should be made. DOS supplies CROPs with represented-company lists; ask the provider who files, who sends reminders and whether the $7 fee is included. Keep an independent calendar.
Does the $7 report replace professional annual registration?
No. Restricted professional companies and relevant partnership categories still review the separate Certificate of Annual Registration, generally due April 15, in addition to the general annual report.
Does closing a Pennsylvania Revenue account terminate the LLC?
No. Revenue and DOS records are separate. Complete the applicable company termination/winding-up and final tax procedures; an active DOS record can continue to require annual reports.
Does BaseAcross form Pennsylvania LLCs?
BaseAcross forms Wyoming and Delaware companies. The alternative-state offer does not include Pennsylvania formation, annual reporting, CROP services or state tax work.
