Maryland · A guide for founders abroad
Forming an LLC in Maryland from outside the United States.
Maryland requires a local company address as well as a resident agent. Understand the $100 base filing, $300 annual report, property-schedule exceptions and approved fee waivers before forming from abroad.
Checked against the official state, IRS and FinCEN sources below. BaseAcross files in Wyoming and Delaware. We do not form Maryland LLCs; this guide helps you assess Maryland and follow its official filing route.

Resolve the local address before paying
Maryland asks for a Maryland LLC address as well as a resident agent.
An overseas founder can generally own a Maryland LLC, but the ordinary articles require the company's address in Maryland. The instructions say it cannot be a PO box. The resident agent's Maryland address is a separate field, and the resident agent must also sign.
Do not assume an overseas home address or a registered-agent subscription satisfies both jobs. Ask your provider explicitly whether it permits use for the LLC's Maryland address, how mail is handled and what evidence it supplies. A business address acceptable to SDAT may still not satisfy a bank's operating-address checks.
The base domestic formation fee is $100. Ordinary paper filing and online or expedited submission can have different total charges and processing expectations. Resolve the address, agent consent and intended submission route before treating a headline price as a finished launch budget.
Form 1 combines two different questions
The annual report is required even when the full property return is not.
Maryland's annual Form 1 includes a registry report and business personal-property questions. The ordinary LLC annual-report fee is $300, subject to specific fee relief. An absence of property or revenue does not by itself remove the annual report or its ordinary fee.
The checked 2026 Form 1 asks whether the business owns, leases or uses Maryland personal property, including inventory, with a total original cost of $20,000 or more. It separately asks about property disposed of before January 1 and prior reporting or assessments. The answers determine which property schedules must be completed.
If the relevant answers are no, the property portion may not have to be completed, but the form requires the applicable attestation. Do not equate a property-return exception with a waiver of the annual report or $300 fee. Use the current year's official package rather than the older articles PDF's broad statement that every entity files a property return.
Costs and worked example
What does a Maryland LLC cost to form and keep?
All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.
The calculator's base subtotal does not promise a complete online price. Select and price the relevant processing and portal charges, and check the live report-year package and waiver approval before budgeting annual relief.
File with SDAT, not a Secretary of State
Prepare the company purpose, Maryland addresses and both signatures.
Maryland's filing agency is the State Department of Assessments and Taxation, or SDAT. A new Maryland entity is domestic even with foreign owners. An existing entity formed elsewhere may need the separate foreign-company registration route.
Maryland domestic LLC submission sequence Name and business purpose
Check distinguishability and a permitted LLC identifier; give a short, accurate description of the business.
Maryland company address
Provide the LLC's Maryland street address; confirm the provider authorises its use for this field.
Resident agent
Appoint an eligible Maryland resident agent with a non-PO-box address and obtain the agent signature/consent.
Authorised execution
Obtain the authorised adult signer's signature and supply the filing party's return address.
Submit, pay and verify
Use the official Business Express route or current paper instructions, review all charges, then retain approved articles, receipt and SDAT ID.
The $100 base filing fee is not a claim that every online checkout totals $100. The fee schedule separately lists $50 expedited service; confirm the current channel and payment charges in the official service before paying.Consent and public information
An agent appointment does not make the filed signer or company address private.
The articles instructions identify eligible Maryland resident agents and require their signature. Arrange acceptance, prompt legal-notice forwarding, renewal and changes of agent in advance. Someone abroad who lacks the required Maryland presence should not appoint themselves merely because they own the company.
The ordinary articles do not require a full member or manager list, but they include the company address, agent and authorised signers. The annual Form 1 also contains company and signing-person information. Information omitted from a membership-list field can still be disclosed through signatures or additional documents.
Maintain the operating agreement, owner register and authority to sign privately, and expect tax agencies and banks to require beneficial-owner details. Review what is actually filed rather than treating a marketing promise about address privacy as guaranteed anonymity.
The next calendar year matters
A December 2026 LLC first reports by April 15, 2027.
Business Express explains that the first annual report is due April 15 of the calendar year after formation, even for an entity created late in the preceding year. A new 2026 LLC should therefore plan its first report for 2027, not wait until the first anniversary.
Use the report package for the year being filed, answer the Maryland property questions and pay the applicable annual fee. The 2026 package illustrates the present structure; a company first reporting in 2027 needs the published 2027 instructions, not a prefilled 2026 form.
SDAT's current notice describes an online 60-day extension request made by April 15, with June 15 as the extended 2026 deadline. Confirm the live year's terms and obtain approval; do not assume a federal income-tax extension also extends the SDAT report or every state tax payment.
Fee relief has an approval process
MarylandSaves can waive $300, but having no employees is not itself the waiver.
The 2026 SDAT addendum explains that eligible prior-year MarylandSaves participation or certification of another qualified retirement plan can qualify a business for the current year's $300 annual-report fee waiver, subject to the stated conditions and good standing. Check the approved SDAT ID list and resolve discrepancies with MarylandSaves.
The addendum separately offers boxes for businesses exempt from the MarylandSaves statute because they have no employees or no automated payroll. Those exemptions should not be read as proof of approval for an annual-report fee waiver. Do not select a waiver solely because the founder is the only person in the business.
A retirement-plan compliance exemption, an approved annual-fee waiver, a property-return exception and a property-tax exemption are different determinations. Preserve the evidence for each one that applies. Even an approved fee waiver does not eliminate the annual-report submission.
Base fee, processing charge and property tax
A $300 annual fee is not the amount of property tax.
Budget $100 base formation and, where selected or required for the chosen channel, $50 expedited processing. The online portal can add service or payment charges; the total must be confirmed at checkout. This guide does not label an unverified online total as a fixed all-inclusive price.
The ordinary annual report is $300 before an approved waiver or other applicable relief. Any tax assessment on taxable business property is calculated separately. Keeping equipment abroad is a fact for the return analysis, not a reason to skip the annual report.
An LLC formed by 15 April has a $1,300 base registry illustration over its first five years: $100 plus four $300 reports, assuming no annual-fee relief. One formed after 15 April has five reports inside the period: $1,600. Add $50 if expedited formation is used, plus actual portal charges, addresses, agent service and tax/professional costs. A waiver changes only the years for which it is approved.
Keep three identifiers distinct
The SDAT ID, EIN and bank account are separate steps.
Save the approved articles and the SDAT entity identifier first. The IRS EIN is a separate federal identifier, issued without an IRS application fee. Use the exact legal name, actual responsible party and the international SS-4 channel appropriate to the business.
If the responsible party has no SSN or ITIN and is ineligible to obtain one, follow line 7b's foreign or N/A instruction. A Maryland mailing arrangement alone does not establish eligibility for the IRS online tool. Retain the EIN confirmation with the operating agreement and complete ownership records.
Before relying on a banking provider, check country eligibility, business activity, operating-address evidence and identity verification. Neither SDAT approval, a resident-agent address nor the EIN guarantees banking, immigration status or US work permission.
The tax rules changed again in 2026
Separate nonresident PTE tax from the SDAT report and check the correct tax year.
Maryland's Comptroller administers income and pass-through tax separately from SDAT. Classification, Maryland activity, sourcing and member type determine the relevant return and nonresident-member payment obligations; a disregarded sole-owner LLC is not automatically the same tax case as a partnership.
The April 13, 2026 tax alert says nonelecting PTEs pay on behalf of nonresident members, while electing PTEs pay on all members' shares. For tax year 2026, it retains Maryland-attributable income for both resident and nonresident shares; changes were postponed to 2027. It also provides a special 2026 election/payment transition.
Use that alert and the applicable year's instructions when preparing estimates and choosing an election. Do not carry a 2025 proposal, old rate or first-quarter assumption into the next year without review. Sales, payroll, professional permissions and the founder's home-country taxation remain separate questions.
Three compliance systems remain
State good standing and the BOI exemption do not replace IRS returns.
A foreign-owned US disregarded LLC with reportable related-party transactions generally files Form 5472 and a pro forma Form 1120. Owner funding and distributions can be reportable even without trading profit. A missing, late or substantially incomplete required filing can trigger an initial $25,000 penalty.
FinCEN currently exempts US-created entities from BOI reporting. That rule does not waive federal tax information returns, Maryland income-tax obligations, SDAT reporting or bank identity checks. Non-US entities registering in Maryland require a separate BOI review.
Use the Business Express good-standing checklist to find missing reports or other problems. If you intend to close, address the proper SDAT filing, winding up and final tax accounts. Forfeiture or an expired agent subscription should not be treated as a completed legal and tax closure.
Choose around the business, with full cost context
Maryland can fit local operations, but the overseas setup needs a real address plan.
For Maryland operations, local formation or foreign registration may be necessary regardless of where owners live. Forming in Wyoming or Delaware does not automatically remove Maryland annual reports, taxes, licensing or address requirements for activity that requires registration there.
For a business managed abroad, compare the reason for Maryland, its company-address requirement, total support costs and disclosure rules. Use the $1,300 to $1,600 five-year base example only with its no-waiver assumption, and price portal charges and property tax separately.

Questions
Questions about a Maryland LLC from abroad.
If yours is not here, email us at hello@baseacross.com.
Can I own a Maryland LLC while living abroad?
Generally, yes. The articles still require a Maryland company address and an eligible resident agent with consent. Arrange accurate local addresses, filing access and state/federal compliance before submitting.
Can I use only my overseas home address on Maryland articles?
The ordinary articles instructions require the LLC's address in Maryland and say it cannot be a PO box. The resident agent has a separate address field. Confirm any provider's authority to supply the required company address.
Is Maryland LLC formation exactly $100 online?
$100 is the base formation fee. The fee schedule lists $50 expedited service, and the online route can have service/payment charges. Confirm the complete current portal price; this guide's $100 illustration is not an all-inclusive online quote.
Do all Maryland LLCs complete the full personal-property return?
The annual report is required, but the 2026 Form 1 uses property-value, disposal and prior-assessment questions to determine required property schedules. The $20,000 test uses original cost. Follow the actual year's instructions and attestation requirements.
Does having no employees automatically waive Maryland's $300 report fee?
No. An exemption from MarylandSaves participation is different from an approved annual-fee waiver. Check the official addendum, prior-year eligibility and approved SDAT ID list. A fee waiver does not remove the report itself.
When does a Maryland LLC formed in December 2026 first report?
By April 15, 2027, using the official 2027 report instructions when published. The deadline follows the next calendar year. Confirm any SDAT extension separately from an income-tax extension.
Is a Maryland LLC with foreign owners exempt from income-tax compliance?
No. Classification, Maryland-source income, activity and member type determine duties. Review the Comptroller's 2026 PTE changes separately from the SDAT annual report, federal foreign-owner returns and home-country taxation.
Does BaseAcross form Maryland LLCs?
BaseAcross forms in Wyoming and Delaware. This Maryland guide is educational and links the official SDAT route; the alternative offer does not form or foreign-register a Maryland LLC.
