New York · A guide for founders abroad
Forming an LLC in New York from outside the United States.
Plan beyond the $200 articles: New York requires six-week newspaper publication, a separate $50 certificate and a written operating agreement. Understand both setup deadlines and the later reporting rules before forming from abroad.
Checked against the official state, IRS and FinCEN sources below. BaseAcross files in Wyoming and Delaware. We do not form New York LLCs; this guide helps you assess New York and follow its official filing route.
$200 articles plus the $50 publication certificate and two newspaper charges. Additional paid agent service is optional.Official fees and forms
The first budget has three parts
Allow $250 in state setup filings, plus both newspapers.
A founder living outside the United States can generally own a New York LLC. The $200 Articles of Organization create the company, but publication adds a separate $50 Certificate of Publication filing and the newspapers’ own charges. Get actual quotes before treating New York as a $200 setup.
Within 120 days after the articles become effective, publish the required notice once a week for six successive weeks in two county-clerk-designated newspapers: one daily and one weekly. The relevant county is the office county stated in the articles. A random inexpensive newspaper or an online announcement does not substitute for the designated publications.
Obtain both affidavits and submit them with the certificate and $50 fee. Assign responsibility for checking acceptance, not merely paying the advertisements. Failure to complete the requirement can suspend the LLC’s authority to carry on business; do not describe that consequence as automatic dissolution.
A separate 90-day obligation
New York requires a written operating agreement.
Members must adopt a written operating agreement before, at the time of, or within 90 days after filing the articles. This is a different clock from the 120-day publication deadline. An approved certificate does not complete both tasks.
The agreement stays with the company and is not filed with the Department of State. Record ownership, contributions, management authority, distributions, transfers and the winding-up process. A sole owner should still address the written-agreement requirement; a generic bank letter is not a substitute.
For multiple owners abroad, agree on who may bind the company and how decisions, records and disputes will be handled across countries. Paid drafting is optional as a purchasing decision; adoption of a suitable written agreement is the legal task.
Costs and worked example
What does a New York LLC cost to form and keep?
All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.
The publication certificate is a later required setup filing; the biennial statement is a future recurring charge.
Newspaper cost depends on the designated papers. No unsupported county-wide fixed price or automatic bank approval is assumed.

Start with the actual filing category
An overseas owner does not make a new New York LLC foreign.
Use ordinary domestic Articles of Organization when creating a company under New York law. Foreign qualification concerns an already existing entity formed under another jurisdiction’s law, including another US state. Professional businesses require their own eligibility review.
The Secretary of State is the statutory agent for service of process. Supply a reliable address for forwarding legal papers and keep it current. An additional designated registered agent is optional, so this guide does not price a paid New York agent as a universal statutory requirement.
Begin from the current DOS filing page, check name availability and restrictions, and retain the approved articles and receipt. The state filing, newspaper process, IRS application and bank onboarding are separate stages; no single approval guarantees all four.
New York remote-founder sequence When Action Before filing Check the name, office county, designated newspaper quotes and reliable service-of-process forwarding. Formation File the $200 articles using the current DOS route and keep the effective date. By the agreement deadline Adopt the written operating agreement within the permitted 90-day window. Within 120 days Complete six-week publication, obtain affidavits and file the $50 certificate. After setup Obtain the EIN where required, organise tax records and calendar the biennial statement. Every second year in the formation month
An October 2026 LLC plans its first statement for October 2028.
The ordinary LLC Biennial Statement costs $9. It is due in the calendar month of formation every two years, beginning two years after formation. For October 2026, the next statements fall in October 2028 and October 2030.
The LLC statement keeps the service-of-process mailing address current. Do not import the officer/director questions for business corporations into an LLC owner-disclosure claim. Use the correct company record and save the filing receipt.
The $9 registry filing does not include the tax department’s annual LLC filing fee when applicable. Missing one obligation is not repaired by paying the other. Update the address through the appropriate DOS filing when necessary rather than waiting years for the next statement.
Read the current 2026 scope
Foreign-owned and foreign-formed are different tests.
The current New York beneficial-ownership FAQ concerns LLCs formed under the law of a country outside the United States and authorised to do business in New York. A New York-created LLC is not covered merely because its owner lives abroad. A Wyoming-created LLC also does not become foreign-country-formed through an overseas owner.
For covered foreign-country LLCs authorised on or after January 1, 2026, the FAQ requires the disclosure or applicable exemption attestation within 30 days. Covered entities authorised earlier have a December 31, 2026 initial deadline. The state also requires annual submissions for the covered category.
The federal FinCEN exemption for US-created entities does not decide whether an existing foreign-country company has New York state obligations. Check both regimes if registering a company already formed abroad. Public articles, publication notices and bank identity checks remain separate from beneficial-ownership reporting.
The $9 statement is not IT-204-LL
Tax classification and New York-source activity determine the next analysis.
The published 2025 IT-204-LL instructions distinguish an LLC disregarded for federal tax purposes with New York-source income, gain, loss or deduction ($25) from an LLC taxed as a partnership (a $25–$4,500 fee based on prior-year New York-source gross income when filing is required). Do not automatically assign the highest fee, or the partnership scale, to every sole-owner LLC.
The filing-fee form and payment are due by the 15th day of the third month after the tax year closes, with no extension for this form. A partnership return or an owner’s return is a different obligation. Corporation-taxed LLCs review the corporate regime instead of using IT-204-LL.
New York City Unincorporated Business Tax can apply to qualifying business carried on wholly or partly in the city. It is not an extra universal tax triggered by having New York in the company name. Review actual operations, sourcing, exemptions and the current return-year instructions, as well as sales tax, employment and local permits where relevant.
Obtain the federal identifier separately
A DOS receipt is not an EIN or bank approval.
The IRS issues EINs without an application fee. Follow SS-4 and its international instructions using the actual responsible party. Where that person has no SSN or ITIN and is ineligible to obtain either, the instructions explain the foreign or N/A entry on line 7b.
A forwarding address alone does not establish eligibility for the IRS online assistant. Preserve the EIN notice, approved articles, operating agreement and ownership evidence for banking. Confirm the provider’s supported countries, business activity and address documentation before committing to an account plan; New York formation does not guarantee acceptance or immigration permission.
Owner transactions can matter before revenue
Budget for the required return work, not only income tax.
A foreign-owned US disregarded LLC with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Owner contributions and distributions can be reportable, so having no customer sales does not settle the filing question. The initial penalty for a required incomplete or missing Form 5472 is $25,000.
Keep dated records of owner funding, reimbursements, distributions and contracts. Assign return and extension responsibility from formation. Multiple owners, a corporate election, US business activity and the owner’s home-country rules need their own analysis; state publication is not federal tax compliance.
Compare costs on the same basis
The five-year registry benchmark is $268 before newspaper charges.
For an October 2026 ordinary domestic formation, $200 articles + $50 publication certificate + two $9 statements = $268 through 2030 at current rates. Add both newspapers, any forwarding/agent service, applicable IT-204-LL fees, taxes, licensing, processing and professional help. A low biennial fee does not make the setup cheap in every county.
New York may fit actual New York operations. A company formed elsewhere can still need New York authority and tax compliance for local business; changing the formation state does not remove those facts. If closing, complete the applicable dissolution, winding up and final tax/account steps instead of abandoning publication or mail.
BaseAcross forms Wyoming and Delaware companies. Our alternative-state offer does not include New York formation, newspaper advertisements, the publication certificate or New York tax filings.
Questions
Questions about a New York LLC from abroad.
If yours is not here, email us at hello@baseacross.com.
Can a non-US resident own a New York LLC?
Generally yes. A new company formed under New York law is domestic even if its owner lives abroad. Publication, a written operating agreement, reliable legal-mail forwarding and applicable tax duties still apply.
Is the complete New York LLC setup fee $200?
No. Articles cost $200, the required publication certificate is another $50, and both designated newspapers charge separately. Forwarding, paid help, payment charges and applicable taxes are additional.
What are the New York LLC publication deadlines?
Complete the required notice once a week for six successive weeks in two county-clerk-designated newspapers, one daily and one weekly, within 120 days. Obtain affidavits and file the $50 Certificate of Publication.
Does a sole-member New York LLC need a written agreement?
New York requires a written operating agreement adopted before, at the time of, or within 90 days after filing the articles. It is retained privately rather than filed with DOS.
Must I hire a paid New York registered agent?
The Secretary of State is the statutory agent for service of process; an additional designated agent is optional. Keep a reliable forwarding address current and check any provider’s actual scope and renewal price.
Does New York BOI reporting apply because I live abroad?
The current state FAQ covers LLCs formed under foreign-country law and authorised in New York, not US-created LLCs merely owned from abroad. Covered foreign-country companies have initial and annual submission rules.
When is a New York LLC’s first biennial statement due?
In its formation month two years after formation, then every second year. An October 2026 LLC plans October 2028 and October 2030 statements at the current $9 fee each.
Does BaseAcross form New York LLCs?
BaseAcross forms Wyoming and Delaware companies. This New York guide explains the official filing route; its alternative-state offer does not include New York formation or publication.
