Use the current LARA system

The $50 articles now belong in the MiBusiness Registry Portal.

An overseas founder can generally own a Michigan LLC. Form a new ordinary domestic company with Articles of Organization, CD-700, and the $50 filing fee. Michigan's current instructions use MiBusiness Registry Portal through michigan.gov/corpfileonline, with MiLogin for Business account access.

Older guides may link the retired COFS system. Begin with LARA's current FAQ rather than an old bookmarked transaction URL. Its formation walkthrough selects Forms, then CSCL/CD-700 Articles of Organization – Domestic LLC. An ordinary LLC and a professional-service LLC use different requirements.

A foreign owner does not turn a newly formed Michigan company into a foreign LLC. LARA uses foreign LLC for an entity formed under another jurisdiction's law; existing companies should assess a certificate of authority based on their actual Michigan activity.

September 30 is a real dividing line

An October 2026 LLC first files its annual statement by February 15, 2028.

An ordinary LLC files an annual statement of resident agent and registered office. If formed on or before September 30, it first reports the following February 15. If formed after September 30, the statement immediately following formation is skipped.

A September 30, 2026 formation therefore first reports by February 15, 2027; an October 1, 2026 formation first reports by February 15, 2028. The rule is not simply a year after the formation anniversary, and the skipped statement does not suspend tax or registered-agent duties.

The current statement fee is $25. Section 450.5101 currently schedules $15 for statements paid after September 30, 2027. Verify the law and live filing charge before that future payment; the current $25 agency instructions should not be treated as a permanent five-year price guarantee.

Costs and worked example

What does a Michigan LLC cost to form and keep?

All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.

Future statement amounts are reference rows, not alternatives payable with formation. Compare an actual calendar separately from the regular-rate benchmark.

  1. Ordinary Michigan LLC submission

Set the management rule and local notice arrangement before signing CD-700.

The current CD-700 contains the minimal fileable provisions, not a complete agreement between owners. LARA cautions that the standard document may not meet every business's needs.

    Michigan LLC setup sequence
    1. Name and purpose

Check a permitted distinguishable LLC name and whether the intended activity requires a professional structure.

    2. Agent and office

Enter the consenting eligible resident agent, Michigan street office and a different mailing address where applicable.

    3. Management and timing

State manager management in the additional provisions if intended; otherwise the form explains that member management is the default. Confirm any permitted delayed effective date.

    4. Organiser and return route

Obtain the organiser signature and printed name; give the intended document-return contact rather than relying on an unmonitored office.

    5. File and preserve

Use current MiBusiness instructions or the form's paper route, pay $50 and retain the endorsed filing, state identifier and account access.

The form's veteran fee-waiver provision has specific ownership and service conditions. The ordinary $50 example does not assume eligibility.
  2. A local role with eligibility rules

The Michigan registered office must work for service of legal documents.

LARA requires a resident agent and registered office in the articles. Its guidance lists eligible Michigan-resident individuals and qualifying domestic or authorised entities. Ownership from abroad does not establish personal eligibility to act as the local agent.

The form distinguishes the office's Michigan street location from its mailing address. A PO box may appear in the mailing field but does not replace the physical registered office. Agree on notice acceptance, forwarding abroad, urgent escalation and renewal terms before filing.

Maintain independent access to the state filing account and use the appropriate change filing when the local service changes. An agent's address is not automatically the company's bank-acceptable operating location or evidence of US premises.

  3. Minimal owner fields still expose signers

The ordinary articles identify organisers and the agent, rather than every member.

CD-700 asks for the organiser's signature and printed name, the agent and registered-office details. It does not ask for an ordinary complete member or manager list. A founder who signs personally can nevertheless be identified in the filing, and extra provisions can disclose more than the minimum.

The ordinary annual statement concerns the resident agent and registered office. Limited ownership listing should not be described as anonymity or as a reason to withhold beneficial ownership from a bank or tax authority.

Keep a written operating agreement and current records of owners, contributions, voting rights, manager authority and distributions. Match the actual management arrangement to the articles; a public organiser is not necessarily an owner or the person authorised to run the company indefinitely.

  4. Restoration differs from routine renewal

Missed statements can cost the company its good standing and name protection.

LARA's annual-filings guidance describes loss of good standing after two years of nonfiling and availability of the name to other entities. Do not describe that as an ordinary LLC automatically being dissolved the day after February 15.

The October 7, 2026 FAQ says an ordinary LLC restores good standing with a $50 restoration filing, all required overdue statements and fees, and the current statement when required. The post-September-30 initial exemption still matters when identifying which years were actually due.

If you intend to close instead, use the applicable dissolution process and complete winding up and final tax accounts. Stopping trading or cancelling agent service does not complete either restoration or orderly closure. Professional LLC report fees differ from the ordinary LLC amounts here.

  5. Federal identity is a separate application

Use the approved legal name and the IRS international instructions.

An EIN is free from the IRS. Apply with the responsible party who actually controls the business and the approved LLC identity. When that person has no SSN or ITIN and is ineligible for either, follow SS-4 line 7b's foreign or N/A instruction.

A Michigan agent address alone does not make an overseas business eligible for the online EIN assistant. Follow the applicable international application route and save the IRS confirmation with the articles and operating agreement.

Banking providers decide country, business-model, ownership and address eligibility separately. There is no verified basis here to claim a Michigan LLC receives more bank questions simply because another state is more familiar. Neither LLC ownership nor an EIN grants immigration status or US work permission.

  6. The annual statement is not a tax return

Elective flow-through tax and owner income tax need a separate review.

Michigan tax duties depend on classification, Michigan-source income and taxable activity. Treasury's flow-through entity tax applies by election to eligible entities; do not automatically assign it to every ordinary LLC or assume living abroad makes Michigan business income tax-free.

A partnership-taxed LLC and a disregarded sole-owner LLC require different return analysis. Treasury's February 25, 2026 conformity notice also describes Michigan adjustments to certain federal provisions. Federal treatment is a starting point, not a guarantee that the state accepts every deduction unchanged.

Review the applicable tax year, eligible election, owner reporting, sales/use tax, employees and any local city tax or licence obligation with the preparer. The founder's country may classify the LLC differently. Paying a $25 registry statement does not settle these questions.

  7. Funding can matter before profit

A foreign-owned disregarded LLC may have Form 5472 duties from its first transfers.

A foreign-owned US disregarded entity with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Owner contributions and distributions can be reportable. The initial penalty for a missing, late or substantially incomplete required form is $25,000.

Assign bookkeeping and filing responsibility at formation; preserve dates, counterparties, reimbursements and currency records. Multiple owners or corporate tax elections change the federal analysis.

FinCEN currently exempts US-created entities from BOI reporting. That exemption does not remove IRS information returns, Michigan filings or bank owner checks. A non-US entity seeking Michigan authority requires its own BOI review.

  8. State the calendar and fee assumptions

Michigan's low fees need a dated comparison, not a banking-recognition story.

The regular current-rate benchmark is $50 formation plus four $25 statements, or $150, before agents and taxes, for an LLC formed by 15 February or after 30 September. One formed after 15 February and by 30 September has five statements inside five years: $175. That is not a forecast incorporating the scheduled fee change. For an October 2026 company, its first five years run to October 2031, so the 2028–2031 statements fall in the example; at the current statutory scheduled $15 rate those four statements would make $110 total. Recheck future law before relying on it.

Michigan may fit local operations or another concrete need. Forming elsewhere can still require Michigan authority and taxes where the actual activity creates those duties. For a business run abroad, compare the local agent, disclosure, operating requirements and full support budget on their merits.

Michigan $150 = $50 + four statements at today's $25 fee, for an LLC formed by 15 February or after 30 September. One formed after 15 February and by 30 September has five: $175. It excludes the scheduled reduction. An October 2026 formation would have four statements in its first five years and $110 total if the scheduled $15 post-September-2027 rate applies. Future law, agents, taxes and support are separate. Wyoming includes its $2.40 online formation charge.

Questions

Questions about a Michigan LLC from abroad.

If yours is not here, email us at hello@baseacross.com.

Can a non-US resident own a Michigan LLC?

Generally, yes. Arrange an eligible Michigan resident agent and registered office, accurate filings and state/federal compliance. The foreign nationality of an owner does not make a newly created Michigan LLC a foreign-registered entity.

Which Michigan portal should I use in 2026?

Use LARA's current MiBusiness Registry Portal instructions through michigan.gov/corpfileonline and MiLogin for Business. Older COFS links should not be treated as the current filing route.

When does an October 2026 Michigan LLC first file its annual statement?

By February 15, 2028. A company formed after September 30 skips the immediately following February statement. A September 30, 2026 company instead first reports by February 15, 2027.

Is Michigan's $25 annual statement fee permanent?

No permanent price is promised. The current fee is $25; section 450.5101 schedules $15 for statements paid after September 30, 2027. Recheck the law and actual filing charge before that future payment.

Does Michigan publish a full ordinary LLC member list?

The ordinary articles and annual statement do not require a complete owner list, but the articles identify the organiser and local agent/office. A founder who signs can appear publicly; banks and tax agencies can require full ownership details.

Is a Michigan LLC automatically dissolved after a missed statement?

LARA describes loss of good standing after two years of nonfiling and loss of exclusive name protection. Restoration requires a separate filing and overdue statements/fees. Do not confuse ordinary LLC rules with corporation or professional-LLC rules.

What does the Michigan five-year comparison assume?

$150 is a four-statement benchmark at the current $25 rate, for an LLC formed by 15 February or after 30 September, not a future-price forecast. One formed after 15 February and by 30 September has five statements: $175. The guide separately shows an October 2026 scenario of $110 over its first five years if four statements use the currently scheduled $15 rate. Agent, tax and support costs are extra.
