State choice

Choose Washington for the business connection, not a tax slogan

A founder outside the US can generally own an ordinary Washington LLC. A business with local staff, premises or substantive operations may have a practical reason to form there. An overseas business should identify registration and tax connections before treating any state as a default.

Washington’s B&O tax can apply to gross business receipts even when net profit is small. Sales tax and licensing are separate checks. The owner living abroad does not by itself determine where income is sourced or whether the business has Washington nexus.

A new entity created under Washington law is domestic even with a foreign owner. An existing company created elsewhere follows foreign registration. Formation does not grant US work permission or guarantee banking; professional activities may require a PLLC or other specialist route.

Base and online fees

The ordinary online formation example is $200, not $180 all-in

The ordinary certificate has a $180 base fee. WAC 434-112-075 adds $20 for covered online filings, giving $200 for ordinary online formation. Annual reports are exempt from that online processing fee; do not automatically add $20 to their $70 base.

The initial report is free when submitted with the formation. If deferred, it is due within 120 days and has a separate $10 base fee; applicable online processing can change the payable amount. Use the combined filing where the information is ready, and confirm a standalone transaction before paying.

Four $70 annual reports plus $200 online formation give a $480 five-year registry illustration. The paper-base counterpart is $460 if the initial report is included at formation. Business licensing, endorsements, taxes, agents and professional work are additional.

Costs and worked example

What does a Washington LLC cost to form and keep?

All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.

The initial report and annual report have different timing and fee rules.

Licensing, tax and endorsement charges depend on actual activity and application category.

A UBI is neither an EIN nor proof that all Revenue registrations are complete.

  1. Formation steps

Coordinate the certificate, initial report and nine-digit UBI

Check name availability and use an allowed LLC designation. Choose a consenting Washington registered agent and the correct commercial or noncommercial agent route. A noncommercial agent needs a physical Washington street address; a PO box or private mailbox does not replace it.

The principal office is where the company’s records are kept. It must have a real physical address, but need not be in Washington. Required email fields and a reliable return address matter for a founder abroad. Keep agent service and the actual records-office arrangement distinct.

Complete the certificate in CCFS, preferably with the initial report if ready. Identify the executors forming the company and the actual governors responsible for management. Select the duration and effective date deliberately; the current instructions permit a future effective date within 90 days.

Retain the confirmation and system-generated documents from the account. An assigned nine-digit UBI identifies the business across participating agencies; it is not the federal EIN and does not prove every licence or tax account has been completed. Keep a private operating agreement and ownership records rather than uploading internal governance documents that the SOS says it does not record.

  2. Revenue registration

SOS formation is not a business licence

Revenue registration has multiple triggers, including relevant taxable sales, employees, endorsements and the published $12,000 annual gross-income trigger. Review the actual activity and applicable remote-seller rules. A low-profit business can still have registration duties.

The Business License Application processing schedule charges $50 for opening the first location of a new business or reopening an inactive one. Other purposes can have different charges; city/state endorsements and trade names are extra. A $5 renewal processing fee applies to a location’s endorsement renewal, in addition to endorsement charges.

The calculator offers the $50 first-location example as conditional, not an automatic SOS formation fee for every owner abroad. Confirm the full licensing result with Revenue and the relevant locality before trading.

  3. B&O and sales tax

Classify the activity before using a tax percentage

B&O is generally a gross-receipts tax, not a tax on accounting profit. Sourcing, apportionment, deductions and credits matter. Remote economic nexus can be relevant even without a Washington office; the marketplace guidance includes a more-than-$100,000 Washington-receipts test and other grounds for nexus.

For the Service and Other Activities classification, the current ordinary tiers introduced October 1, 2025 are 1.5%, 1.75% and 2.1%, based on the relevant prior-year taxable service income and affiliated-group rules. This is not one universal rate for all LLC income. Special industries and exceptions require their own rules.

An especially important check for software founders: Revenue’s current guidance treats sales of custom software and customisation of prewritten software as retail sales from October 1, 2025, with retailing B&O and retail sales tax where applicable. Do not blindly continue classifying all development income as an ordinary untaxed service.

Use actual current-year guidance for the product, customer location and contracts. Revenue tax returns and payments, local licensing and owner/federal tax work are separate from the $70 SOS report.

  4. Governors and renewal

Public management reporting continues after formation

The initial report records governors and principal-office information. A governor is the legally relevant management role, including a manager of a manager-managed LLC or the relevant member role for a member-managed LLC. It is not simply another name for every passive beneficial owner.

The annual report is due by the entity’s expiration date, normally the last day of its formation anniversary month, and can be filed up to 180 days early. An October 2026 formation normally enters the October 2027 renewal cycle; confirm the actual CCFS record.

Keep governor and office information accurate. An amended report changes information but does not replace the required annual renewal or advance the expiration date. Public roles and filed signers mean Washington should not be sold as anonymous ownership.

  5. EIN and international tax

The UBI does not replace the EIN or IRS reporting

Obtain the EIN after the LLC exists. The IRS application fee is $0. An overseas responsible party who cannot use the online tool should follow SS-4 and the appropriate international phone, fax or mail route, including the allowed entry where no eligible SSN or ITIN exists.

A wholly foreign-owned US disregarded LLC can need Form 5472 attached to a pro forma Form 1120 for reportable owner transactions, including contributions, even without sales. The initial failure penalty is $25,000. A partnership-classified LLC needs a different return and foreign-partner withholding analysis.

Current FinCEN guidance exempts US-created companies from BOI reporting, including a Washington LLC owned abroad. An entity created outside the US and registered in Washington needs the separate foreign-entity analysis. Check home-country treatment and actual US income connections; none is decided by the UBI.

  6. Remote account readiness

Document where records and operations actually sit

Prepare accepted state documents, EIN evidence, the operating agreement, owner/controller identity and residential-address evidence, and an explanation of business activity and payment flows. A provider may impose country, industry and address restrictions beyond SOS requirements.

Confirm remote opening and the accepted records/operating address before buying a mailbox or promising a US account to customers. A local agent does not make every address field local, and an approved certificate does not guarantee a bank or payment processor will accept the business.

  7. Late filing and exit

Keep CCFS and Revenue records separately current

The current ordinary report is $70; the SOS fee table lists $95 with delinquency, including the $25 late charge. A postmark is not the same as receipt. Monitor notices and address changes before a small missed renewal becomes a reinstatement problem.

If closing, follow the proper SOS dissolution route and separately close relevant Revenue accounts, licences and final tax returns. Updating one agency’s record does not automatically update every agency sharing the UBI. Preserve documents and confirmations for the owner’s final federal and home-country work.

Questions

Questions about a Washington LLC from abroad.

If yours is not here, email us at hello@baseacross.com.

Can a non-US resident own a Washington LLC?

Generally yes for an ordinary LLC, subject to activity and other restrictions. You need a consenting local registered agent and accurate filings, plus separate tax, licensing and banking planning.

Is Washington formation $180 or $200?

The ordinary base is $180. The covered online filing adds $20, giving $200. A combined initial report is free; a deferred initial report has its own fee and possible online processing.

Must I file an initial report in Washington?

Yes. It can accompany formation for free or be filed within 120 days for the separate applicable charge. It records principal-office and governor information and does not replace annual renewal.

Is the annual report $60 or $70?

The current ordinary LLC report fee is $70. The $20 online-processing rule exempts annual reports. Confirm any other actual charges and file by the CCFS expiration date.

Does the UBI mean I have a business licence and EIN?

No. The UBI is a state business identifier. Review Revenue licensing and tax registration separately and apply to the IRS for the federal EIN.

Does no profit mean no Washington B&O tax?

Not necessarily. B&O generally uses gross receipts with classification, sourcing, deductions and credits. Remote nexus can matter without a local office. Sales tax and licensing are separate checks.

Are custom software sales still always ordinary service income?

No. Current Revenue guidance treats custom software and customisation of prewritten software as retail sales from October 1, 2025, subject to applicable retailing B&O and sales tax rules.
