Ohio · A guide for founders abroad
Forming an LLC in Ohio from outside the United States.
Ohio has $99 ordinary articles and no annual LLC registry report. Check the current form, statutory-agent address rules and the separate CAT, nonresident and municipal tax questions before treating that as the full cost.
Checked against the official state, IRS and FinCEN sources below. BaseAcross files in Wyoming and Delaware. We do not form Ohio LLCs; this guide helps you assess Ohio and follow its official filing route.

A low registry cost with continuing duties
Ohio LLCs have no annual or biennial registry report.
A founder abroad can generally own an ordinary Ohio LLC. The Articles of Organization cost $99 and the SOS does not require an ordinary LLC annual or biennial report. That keeps the recurring registry benchmark low, but does not eliminate agent maintenance, tax returns or local registrations.
Keep an eligible statutory agent continuously appointed and the public record accurate. Ohio uses statutory agent for the service-of-process role commonly called registered agent elsewhere. A paid provider’s annual renewal is a commercial service charge, not an Ohio annual LLC report fee.
The SOS warns about misleading solicitations. Check the official filing requirements before paying a letter that resembles an annual-report invoice or selling an unnecessary certificate. Distinguish a real filing requirement, a bank’s document request and a third-party offer.
Use the current tax threshold
The CAT exclusion is $6 million from 2025 onward.
Ohio’s current Commercial Activity Tax guidance excludes the first $6 million of taxable gross receipts for tax years beginning in 2025 and later. Older instructions using a $150,000 registration threshold or a universal annual minimum CAT are not the current rule.
Businesses with more than $6 million in Ohio taxable gross receipts must evaluate CAT registration and quarterly filing under the current rules. This is a gross-receipts analysis, not a net-profit test and not the company’s worldwide turnover automatically attributed to Ohio.
Nexus and the exclusion are separate questions. For example, a $500,000 Ohio sales nexus threshold is not a statement that CAT becomes payable at $500,000. Apply the receipts-sourcing, grouping, excluded-person and registration rules to the actual business. Keep filing or formally update/cancel an existing account as instructed rather than assuming a lower balance closes it.
Costs and worked example
What does an Ohio LLC cost to form and keep?
All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.
A zero annual registry report charge does not mean zero tax or operating compliance.
Current CAT rules replace the old $150,000/annual-minimum explanation; receipts sourcing and nexus are separate tests.

Use the current form, not a retired packet
Form 610 replaces the older 533A articles.
The SOS current fee schedule lists ordinary domestic Articles of Organization as form 610, revised September 2025, replacing form 533A. The current page provides online filing and the downloadable form. Start there because older saved PDF paths may redirect to the fee index.
A new company created under Ohio law uses the domestic route regardless of the owner’s nationality. An existing company formed elsewhere reviews foreign registration instead. Check a compliant available name, the agent appointment and acceptance, signature authority and any desired effective date before submission.
Retain the accepted document and actual effective date, then document private ownership and authority. State formation, the federal EIN, tax registration, licensing and bank approval are separate tasks. Do not promise a fixed processing time from an outdated competitor screenshot.

An agent needs an eligible Ohio address
A generic virtual mailbox does not satisfy the statutory-agent rules.
The current form instructions require an eligible Ohio-resident individual or qualifying business entity with an Ohio address, and the agent’s signed acceptance. The address must be the agent’s primary residence or usual business address.
The instructions prohibit commercial mail receiving agency addresses and ordinary PO boxes, with the stated rural-route/PO-box exception. A virtual-mail subscription should not be marketed as an automatic statutory-agent substitute. Ask the provider specifically whether it supplies the legal agent appointment and compliant service address.
The current fee schedule lists $25 for a statutory-agent update. Review and file the relevant change when arrangements change; no annual report does not give permission to leave a resigned agent or stale service address indefinitely.
Limited owner fields do not establish anonymity
The agent, signers and any additional filed statements remain relevant.
Ordinary articles do not require a complete member/manager ownership roster. The public filing still identifies the statutory agent and contains signatures and other filed information. A person signing as an authorised representative is not necessarily the beneficial owner.
Maintain an operating agreement, ownership ledger, contribution history and written authority for opening accounts or signing contracts. A bank may need ownership and management evidence that is not shown in the public articles.
Do not use the absence of an annual report to promise owners can never appear in any public document. Optional authority filings, amendments and other records can disclose further details, and tax authorities and banks have separate information requirements.
No CAT bill does not settle income-tax obligations
Review nonresident withholding and municipal net-profit rules.
The Tax Department describes IT 1140 filing for a qualifying PTE with Ohio nexus, at least one qualifying investor and an adjusted qualifying amount exceeding $1,000. Nonresident individuals are among the qualifying investors. Eligible IT 4708 composite or IT 4738 electing-PTE routes have their own rules.
IT 1140 withholding does not itself replace the investor’s own return. Do not assume an owner’s promise to file an individual return universally removes the entity’s PTE obligation. Evaluate the actual owner/classification, income adjustments and eligible elections.
Ohio municipal net-profit taxes require a separate local-activity analysis, along with sales/use tax, employer accounts and professional/local licences where relevant. A business below the CAT exclusion can still have these duties. Use current-year instructions instead of equating $99 state formation with tax-free operation.
Obtain the federal ID on the right route
The IRS application itself is free.
Use SS-4 and the accepted Ohio legal name with the actual responsible party. If that person has no SSN or ITIN and is ineligible for either, the instructions explain the foreign or N/A entry. Check international submission and online eligibility rather than assuming the state’s online portal grants IRS online access.
Keep the IRS notice, articles, agreement and ownership/authority evidence. Review a bank or payment provider’s supported countries, activity and address requirements. This guide makes no unsupported promise that a Wyoming or Ohio filing guarantees account approval; formation also grants no immigration permission.
A no-revenue LLC may still need an information return
Track the first transfer from the overseas owner.
A foreign-owned US disregarded LLC with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Owner contributions and distributions can be reportable. The initial penalty for a required missing or incomplete Form 5472 is $25,000.
Assign records, return preparation and extensions before moving funds. Other tax classifications need different filings. FinCEN currently exempts US-created entities from BOI reporting; that does not cancel IRS or Ohio tax requirements, agent maintenance or bank identity checks.
The $99 benchmark has a defined scope
Add the operating and tax costs that actually apply.
The ordinary five-year registry benchmark is $99 because Ohio has no recurring ordinary LLC registry report. It excludes statutory-agent renewals, applicable payment processing, licences, taxes, returns and professional services. It assumes no later amendments, agent changes or dissolution.
The SOS currently lists a $50 Certificate of Dissolution, form 616. If closing, review the winding-up procedure and finish applicable state, local and federal tax/account tasks. Stopping an agent subscription does not complete dissolution.
Ohio can fit Ohio operations; a company formed elsewhere can still need Ohio authority and taxes. BaseAcross forms Wyoming and Delaware companies. Our alternative-state offer does not include Ohio formation, statutory-agent service or Ohio/local tax filings.
