Arkansas · A guide for founders abroad

Forming an LLC in Arkansas from outside the United States.

Arkansas is inexpensive to form, but its annual franchise-tax commitment deserves a closer look. Understand the first May deadline, named member or manager, address fields and EIN sequence before filing from abroad.

Understand the commitment

A $45 filing starts the company. It does not cover the following year's tax.

Arkansas charges $45 to submit a domestic LLC Certificate of Organization online, or $50 on paper. Its annual LLC franchise tax is a separate $150 obligation. For a founder abroad, the important comparison is formation plus maintaining the entity, rather than the low initial fee alone.

A foreign person can generally own a US LLC. Decide whether Arkansas fits the actual business: local operations, property, staff or a requirement from a licensing body may justify it. Living overseas does not itself make a new Arkansas LLC a foreign registration, or grant permission to work physically in the United States.

The formation pack says the first franchise tax is due by May 1 of the year following formation. Under today's rule, both a January 2026 formation and a December 2026 formation first pay by May 1, 2027. Forming near year-end does not give you twelve months before that deadline.

Resolve this before paying

Separate your registered agent, principal office and tax contact.

LL-01 asks for a physical principal-office address and an Arkansas registered agent's physical address. The franchise-tax contact has its own mailing address, phone and email. These fields serve different purposes; a provider's legal-notice service is not automatically permission to describe its premises as your operating office.

The 2026 annual report specifically labels its principal-office field in Arkansas. If your business is run entirely abroad, confirm with the Secretary of State how to complete the current online and annual-report address fields for your actual arrangement before filing. Do not invent an Arkansas office or assume a mail drop satisfies the registered-agent requirement.

Use a tax-contact email that you will monitor long-term and agree who is responsible for the May filing. The registered agent receives legal notices; your accountant or another person may handle tax reminders. The company still needs to make sure the filing happens.

Costs and worked example

What does an Arkansas LLC cost to form and keep?

All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.

The first annual payment is not charged merely by choosing online formation in this calculator. Keep its deadline on a separate calendar and use the correct reporting-year form. Confirm live payment-processing charges at the state checkout.

  1. The formation application

How to complete the Arkansas Certificate of Organization.

Use the current LL-01 and online link from the Secretary of State's domestic LLC page. Some guides still call this Articles of Organization; the current state's domestic form is titled Certificate of Organization.

    Arkansas LL-01 preparation and submission
    1. Choose and check the name

Use an available name with a permitted LLC ending. A separate reservation is optional if you are ready to file directly. Professional services have additional naming requirements.

    2. Arrange the address and agent

Prepare the principal-office physical address and agent details. Resolve overseas-address questions before submitting.

    3. Identify the tax-purpose officer

Name at least one member or manager in the field for franchise-tax purposes. The organiser signing the form is a separate role.

    4. Complete the contact information

Prepare a reliable tax contact and confirm how the state wants an EIN-pending case handled if the federal number has not been issued.

    5. Submit and save approval

Online filing is $45; paper filing is $50. Retain the filed certificate, receipt, filing number and contact details on record.

Submission, approval and being ready to trade are different milestones. Check current filing times with the state; IRS processing, bank review and operating permissions can take additional time.
  2. Names in the company record

What does Arkansas ask you to disclose?

The formation certificate requires the name and title of at least one officer for franchise-tax purposes, identifying the person as member or manager. It also carries the organiser's signature and the company's addresses. Do not read a general statement that the state does not track ownership as a promise that no member or manager will be identified.

The annual franchise-tax form asks for the company's management arrangement and current member/manager names. Maintain your own ownership ledger and operating agreement as well. Banks and tax authorities may ask for the actual beneficial owners even where a formation form requests only one named person.

Hiring an organiser or registered agent does not remove the information the state requires. Review the document you are authorising, and keep private agreements and identification documents separate from public filings unless they are specifically requested.

  3. Your first recurring deadline

Put May 1 on the calendar, even if the LLC has not made sales.

The annual LLC franchise-tax report is an entity-maintenance filing with the Secretary of State. It is separate from income-tax returns and from any bank or payment-account approval. A standard LLC should budget the flat charge rather than assume no revenue means no franchise tax.

Example: Arkansas LLC formed October 16, 2026, assuming current rules remain
    1. Formation in 2026

$45 online Certificate of Organization. Set aside money for the following May.

    2. First annual filing

$150 by May 1, 2027 under the year-following-formation rule. Use the then-current report, not the 2026 report for the prior tax year.

    3. Later years

Budget $150 each year while the obligation continues, and keep the contact and company information current.

    4. Closing the company

Arrange the proper dissolution or withdrawal and final franchise-tax work; simply stopping operations does not complete closure.

  4. If the deadline is missed

Late charges apply to the tax and penalty, not just the original $150.

The published report instructions say there is no extension opportunity. They add a $25 late-filing penalty and calculate daily interest on the tax plus penalty. Use the current state calculation when settling an overdue balance.

For illustration, the 2026 worksheet gives $150 tax + $25 penalty = $175, then interest of $175 × 0.000274 × 30 days, or about $1.44. That makes about $176.44 after 30 deficient days, before any separate payment charges. This is a worked example of the published formula, not a quote for your account.

When filing from abroad, do not rely on an overseas postal stamp as proof of timely US postmark. The instructions specify a USPS postmark or timely receipt. Leave time for payment and retain the filing confirmation.

  5. The EIN timing question

What if the Arkansas paperwork asks for an EIN before you have one?

An EIN is issued by the IRS, not the Secretary of State. The formation pack includes a tax-contact sheet with a Federal Tax ID field, so a founder without a number should confirm the state's current EIN-pending procedure rather than enter a made-up number. Keep the tax-contact record updated when the EIN arrives.

For an eligible international applicant, Form SS-4 provides a route without an SSN or ITIN. When the responsible party has no such number and is ineligible to obtain one, follow the line 7b instructions for foreign or N/A. Check the current IRS application channel and contact details; an Arkansas agent does not automatically qualify you for the online EIN tool.

The IRS does not charge for an EIN. A provider's application assistance is a separate service. Save both the Arkansas filing number and EIN confirmation, and use the right identifier for each task.

  6. Two agencies, different jobs

Secretary of State formation is separate from DFA tax registration.

The Secretary of State handles the company filing and franchise tax. Arkansas's Department of Finance and Administration handles other tax accounts through services including ATAP. Register for the taxes your activity requires instead of assuming a company certificate also supplies a sales-tax permit.

Before trading, assess taxable sales, employees, locations and any professional or city permissions. For a business operating across borders, ask an adviser to check Arkansas-source activity, federal treatment and home-country obligations together. The $150 franchise tax does not settle those other liabilities.

Prepare an operating agreement covering ownership, contributions, authority and distributions. Keep business finances and records separate. For banking, confirm the provider's country, activity and operating-address requirements before relying on account access; formation approval is not bank approval.

  7. Reporting for an owner abroad

Owner funding can create a federal reporting task before the first customer pays.

A foreign-owned US disregarded entity with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Contributions and distributions can be relevant, including money used to launch the business. Assign bookkeeping and tax-preparation responsibility in the first year; a required filing that is missing, late or substantially incomplete can trigger a $25,000 penalty.

An LLC with multiple members, or one electing corporate treatment, needs a different classification analysis. Do not assume every foreign-owned LLC files the same federal return or that paying Arkansas franchise tax completes the owner's tax obligations.

Under FinCEN's current rule, companies created in the United States are exempt from Corporate Transparency Act BOI reporting, including an Arkansas LLC owned from abroad. Registering an entity formed outside the US is a different case. That exemption does not remove bank identity checks or IRS information returns.

  8. If you already have a company

Check foreign registration before forming a second LLC.

A company already formed in another jurisdiction may need Arkansas foreign registration if its activity requires qualification. Use the state's foreign LLC resources and current fee schedule rather than the domestic $45 example. The Secretary of State FAQ requests a home-jurisdiction certificate of existence dated within the last 30 days; confirm the current application instructions before ordering documents.

For a foreign owner creating a new Arkansas company, the formation is domestic. For an existing non-US company entering Arkansas, entity eligibility, tax classification and liability structure need their own review. The word foreign in an entity filing is about formation jurisdiction, not the owner's passport.

  9. Make a practical decision

When does Arkansas justify the annual commitment?

If your business will operate in Arkansas, forming there may avoid maintaining an out-of-state company alongside Arkansas foreign registration. Compare the real arrangement: local agent, address requirements, franchise tax, operating permissions and professional support.

For a business run wholly abroad, the low entry fee is not enough to choose the state. The $150 recurring tax, named member/manager information and handling of principal-office fields all deserve attention. A different formation state also does not remove obligations your actual Arkansas operations create.

Questions

Questions about an Arkansas LLC from abroad.

If yours is not here, email us at hello@baseacross.com.

Can a non-US resident own an Arkansas LLC?

Generally, yes. Arrange the Arkansas registered agent and confirm how the current forms handle your actual principal-office and tax-contact addresses. Ownership does not grant a US visa or work permission.

Does the $45 filing fee include Arkansas franchise tax?

No. The $45 online Certificate of Organization fee and $150 annual LLC franchise tax are separate. Paper formation costs $50. Budget agent service and any applicable payment charges separately.

When is the first Arkansas LLC franchise tax due?

The formation pack says May 1 of the year following formation. Under the current rule, an LLC formed in December 2026 first pays by May 1, 2027, rather than waiting twelve months.

Does no revenue remove the annual franchise-tax requirement?

Do not assume it does. The standard LLC report specifies a flat $150 payment. Income-tax treatment and whether the LLC has started selling are separate issues.

Can I extend the franchise-tax deadline?

The published report instructions say the extension opportunity has been eliminated. They specify a late penalty plus daily interest. Use current instructions and your account balance if a filing is overdue.

Does Arkansas ask for a member or manager on the formation?

Yes. LL-01 asks for the name and title of at least one member or manager for franchise-tax purposes. The annual report also requests management details and current member/manager names.

Can I get an EIN without an SSN?

Eligible international applicants can use IRS Form SS-4 routes without an SSN or ITIN, following the responsible-party instructions. Confirm Arkansas's handling of any EIN-pending field rather than inventing a number.
