South Dakota · A guide for founders abroad

Forming an LLC in South Dakota from outside the United States.

South Dakota’s current ordinary report is $55 online, and a new reporting-date choice takes effect January 1, 2027. Review that transition, management and land disclosures alongside the $150 online articles before forming from abroad.

Use the current annual-report price

South Dakota reports are $55 online or $70 paper.

A founder abroad can generally own an ordinary South Dakota LLC. Formation is $150 online or $165 paper. The current official fee schedule lists annual reports at $55 online or $70 paper, rather than the older $50/$65 figures.

The report paper form also shows $70 and a separate $55 delinquent-report fee. The calculator keeps the formation channel exclusive and the future report out of the setup subtotal. Agent renewals, actual payment charges and tax/licensing work remain additional.

At current rates, an October 2026 company with four reports through 2030 has a $370 online registry benchmark: $150 plus four $55 reports. The all-paper equivalent is $445: $165 plus four $70 reports. Neither is an all-in operating budget.

A new date choice takes effect January 1, 2027

Check the selected reporting schedule rather than assuming month-end.

The SOS’s current operational guidance says annual reports are due on the first day of the anniversary month, starting the following year. For an October 2026 company, October 1, 2027 is the conservative reminder under that anniversary guidance. The same page separates the due date from delinquency two months later.

The published amendment to SDCL 59-11-25 takes effect January 1, 2027. It provides an anniversary-month route or January 31 beginning the year after formation, with a choice on formation documents and a change-of-filing-date form for entities in good standing.

The current older statutory text and the SOS operational calendar are not identically worded, and the new law is not yet effective on this review date. Check the updated 2027 instructions and the company’s actual selected record before relying on a deadline. Do not treat January 31 as an automatic change for every existing company or assume all reports can wait until anniversary-month end.

All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.

South Dakota ordinary domestic LLC costs · checked October 17, 2026

The current report is $55 online/$70 paper, with a separate $55 late fee.

The January 2027 law introduces a date choice; follow updated SOS instructions and the company record instead of assuming an automatic January or month-end deadline.

  1. Distinguish the actual business office and local agent

The designated office can be in or outside South Dakota.

Use ordinary domestic articles when creating a new South Dakota-law entity, regardless of founder residence. Existing companies formed elsewhere review foreign authority; the current fee schedule lists a much higher $750 online/$765 paper foreign LLC application, so choose the category from the entity’s origin rather than the owner’s address.

The domestic articles ask for the designated office’s actual street address where business is conducted, in or out of South Dakota. Registered-agent information is separate: a noncommercial agent supplies the qualifying local street details, or the commercial-agent route uses its registration information.

Supply each organiser and the actual member-managed or manager-managed choice. Check duration, any personal-liability provisions and signatures before submitting; do not check substantive legal boxes merely to finish the form. Retain the accepted articles and entity number, and revisit the new date-selection workflow once implemented.

    1. Scope and name

Confirm ordinary domestic LLC, compliant available name and any regulated/agricultural issues.

    2. Business office

Supply the actual designated business-office street address, wherever located.

    3. Agent

Arrange the qualifying local noncommercial or commercial registered-agent appointment.

    4. Articles

Identify organisers, actual management and required initial managers; review substantive provisions.

    5. Submission

Choose $150 online or $165 paper, confirm payment and save acceptance.

    6. Reporting calendar

Review the January 2027 implementation and record the company’s selected reporting schedule.

  2. The manager-managed route has public names

Optional beneficial-interest fields do not erase required management fields.

The articles require each initial manager’s name and address if the LLC is manager-managed. The current annual report asks for manager/governor details in that category and permits the corresponding section to be left blank for a member-managed LLC.

The report’s beneficial-interest ownership section is labelled optional. That does not make the entire form optional or private: required managers, agent, office, signers and other information remain visible. A manager may be an owner or a different person; the public record is not necessarily the complete member ledger.

Keep actual membership, percentages, contributions, operating agreement and signing authority privately organised. Bank and tax identity checks can require more detail, and the management choice must describe the real arrangement rather than a fictional role selected to hide ownership.

  3. Land ownership has a separate reporting question

The annual report asks about agricultural land and foreign interests.

The current ordinary annual form requires an answer about ownership of agricultural land and follows with foreign beneficial-owner/interests questions when applicable. It includes definitions for that purpose. Those required conditional questions should not be confused with the separately optional general beneficial-interest section.

A founder abroad considering agricultural property needs the relevant ownership and land-law review before acquisition. Acceptance of an LLC filing is not permission for every foreign person or structure to hold every category of land.

These state questions are also distinct from federal FinCEN BOI. The current federal exemption for US-created entities does not excuse answering required South Dakota state land questions accurately.

  4. No corporate income tax does not mean no state taxes

Remote sellers and taxable services need a separate review.

South Dakota Revenue states that the state does not impose a corporate income tax. Sales/use tax, municipal taxes, contractor/industry rules and employer obligations still need review for the actual activity. State formation alone does not settle whether receipts are taxable.

For a business without physical presence, the agency describes a remote-seller obligation when gross sales into South Dakota exceed $100,000 in the previous or current calendar year. Marketplace-provider rules require their own analysis. Do not keep using the former transaction-count test as a universal current alternative.

A physical-presence taxable business may need licensing without waiting for that remote-seller threshold. Review taxability, sourcing, exemptions and provider collection responsibilities rather than treating the threshold as permission for every local taxable business to stay unregistered.

  5. Federal identity and banking remain separate tasks

The IRS EIN application is free.

Follow SS-4 with the accepted legal name and actual responsible party. If that person has no SSN or ITIN and is ineligible for either, the line 7b instructions explain the foreign or N/A entry. A local agent and state filing account do not by themselves establish IRS online eligibility.

Keep the EIN notice, articles, membership ledger and agreement/authority evidence. Bank and payment providers independently assess supported countries, business activity and addresses. No claim that trust-industry familiarity or a formation state guarantees an overseas founder’s account is assumed; formation grants no immigration permission.

  6. Track the owner’s first contribution

Federal information returns can apply before revenue.

A foreign-owned US disregarded entity with reportable related-party transactions generally files Form 5472 with a pro forma Form 1120. Contributions and distributions can be reportable even without sales. The initial penalty for a required missing or incomplete Form 5472 is $25,000.

Assign records, returns and extensions at setup. Partnership and corporate classifications require different analysis, as can the owner’s home-country rules. FinCEN currently exempts US-created entities from BOI reporting; it does not cancel IRS filings, South Dakota reports or bank checks.

  7. Maintain status through the reporting transition

Later restoration and closure have their own costs.

Current SOS guidance separates the due date from delinquency two months later; the current late fee is $55. Prolonged noncompliance can lead to administrative dissolution. After the 2027 date change, confirm the selected schedule and updated delinquency notices rather than relying on a past calendar example.

The current fee schedule lists domestic reinstatement at $150 plus delinquent reports/fees. Revenue says a tax-clearance certificate is required for reinstatement. Ordinary articles of termination are $10 base; complete the appropriate winding up, final returns and account closure when ending the business.

South Dakota can fit actual local operations. Forming elsewhere does not remove relevant local registration/tax duties. BaseAcross forms Wyoming and Delaware companies. Our alternative-state offer does not include South Dakota formation, annual reports, agents, land compliance or tax returns.

Questions

Questions about a South Dakota LLC from abroad.

If yours is not here, email us at hello@baseacross.com.

Can I form a South Dakota LLC from outside the US?

Generally yes for an ordinary LLC with eligible registered-agent arrangements. A new South Dakota-law entity is domestic regardless of owner residence; agricultural land and regulated activities require separate review.

Is the South Dakota annual report still $50 online?

The current SOS fee schedule lists $55 online and $70 paper. The current report form also lists a $55 late fee. Older $50/$65 figures should not be used for a current budget.

When will a South Dakota LLC report in 2027?

Check the company’s selected record and updated implementation. The law effective January 1, 2027 provides anniversary-month or January 31 routes. Current SOS guidance uses the first day of the anniversary month; do not assume a universal month-end deadline.

Can every existing LLC automatically switch to January 31?

The new law permits a good-standing entity to change the reporting date using the prescribed change-of-filing-date form. It does not say every existing company automatically switches; check updated SOS instructions and the accepted record.

Which South Dakota LLC names are publicly filed?

Manager-managed articles list initial managers, and the report requires that category’s manager/governor details. The member-managed management section may be blank and general beneficial-interest entries are optional, but other filed details remain public.

Are foreign-owner agricultural-land questions optional?

The current report requires the land-ownership answer and applicable foreign-interest follow-up. That is distinct from its optional general beneficial-interest section and from federal FinCEN BOI reporting.

Is the five-year South Dakota registry base $350?

Using current fees, it is $370 online: $150 formation plus four $55 reports. The paper equivalent is $445. These exclude agents, taxes, payment charges where applicable and support.
