Choosing Virginia

Use a real operating reason and the full compliance cost

A founder abroad can generally own an ordinary Virginia LLC. Virginia may be a practical choice for a business operating there, but forming in Virginia does not by itself move an overseas business’s actual activities or resolve obligations in another state or country.

The ordinary registry fees are $100 to form and $50 annually. No LLC annual report is required, but the annual registration payment still matters. A missed payment can lead to cancellation even where the company has no revenue.

This guide covers a new Virginia domestic LLC. An existing company created elsewhere follows the separate foreign qualification route. Ownership does not confer US immigration permission, override professional licensing rules or guarantee account eligibility.

Agent eligibility

A Virginia address alone does not make a friend eligible

Virginia has specific registered-agent eligibility rules. An individual generally needs Virginia residence and a qualifying statutory connection or professional status; qualifying entity agents must be authorised to act there. The company cannot be its own registered agent.

A Virginia friend who merely agrees to receive mail is not automatically eligible. The statute includes defined member/manager and related-entity roles, Virginia State Bar members and a qualifying designated employee/officer route with conditions. Check the actual category instead of treating residence alone as sufficient.

For an overseas owner without a qualifying individual, a properly eligible commercial entity agent can be the practical route. Confirm the registered office, service availability, consent and notice-forwarding arrangements. A virtual mailbox subscription is not evidence of statutory eligibility.

All amounts are in US dollars. The state filing fee is one part of your budget; agent service, tax preparation, licences and optional help are separate.

Virginia ordinary domestic LLC costs · checked October 17, 2026

Agent eligibility is specific: residence and an address alone do not qualify every individual.

The SCC does not grant an automatic weekend or holiday payment extension.

The 2026 PTET sunset removal does not eliminate eligibility, election or owner-return analysis.

  1. Articles and first steps

The principal office can be abroad, while the agent remains local

Check the proposed name and required LLC designation through the SCC and confirm that the chosen activity can use an ordinary LLC. Name availability is different from trademark clearance. Optional name reservation is not a prerequisite in every ordinary formation.

The articles identify the legal name, initial registered office and agent, qualifying agent status and principal office address. The statute expressly permits the principal office to be outside Virginia. Use the real facts rather than inventing a local operating address because the company is registered there.

Use the current SCC filing route and ordinary articles instructions, sign through an authorised organiser and pay the $100 base fee. Retain the accepted articles, certificate and entity identification. Check the actual acceptance before representing that the entity exists.

Prepare an operating agreement covering ownership, contributions, management, authorised signers and transfers. Keep access to the SCC account and legal notices under control if someone else submits the formation. Register for activity-based tax and local licensing where required before trading.

  2. Annual fee calendar

No report does not mean no annual SCC obligation

The LLC pays a $50 annual registration fee starting the year after formation. The due schedule is the last day of its anniversary month. An October 2026 formation normally first pays for October 2027; confirm the actual SCC record and invoice.

The SCC requires receipt by the deadline and does not automatically extend payment because the due date falls on a weekend or holiday. October 31, 2027 is a Sunday, so arrange payment early instead of assuming a next-business-day extension.

At unchanged rates, $100 formation plus four $50 annual payments gives a $300 five-year registry illustration. An agent subscription, accountant’s invoice or bank fee is separate from the SCC payment.

  3. Late fees and cancellation

A small unpaid charge can cancel the company

The SCC lists a $25 penalty for late LLC annual registration payment. If the annual amount remains unpaid by the end of the third month after the due month, the entity can be automatically cancelled under the applicable rules. Monitor the record and notices rather than treating the $25 as an optional extension price.

If the entity is already cancelled, obtain the current reinstatement requirements and outstanding charges before continuing to rely on good standing. Administrative cancellation does not prove that final tax filings, contracts or owner obligations have disappeared.

  4. Public records

The articles do not require a complete ownership roster

The required articles fields do not include a complete member or manager list, and an ordinary Virginia LLC does not file a recurring annual report. That is a meaningful public-record distinction, but it is not a guarantee that an owner’s name will never appear.

The registered agent, signer, office details and information supplied in other filings can identify people. A member acting as the agent may be publicly identified through that role. The principal-office address is also a real disclosure decision even though it can be outside Virginia.

Keep accurate ownership records in the operating agreement and disclose required owners and controllers to banks and tax authorities. Do not equate fewer routine SCC owner fields with anonymity or exemption from foreign-owner tax reporting.

  5. Tax and nonresident owners

Review Virginia-source income, withholding and the current PTET rules

Federal classification and Virginia activity determine the tax path. A partnership-classified LLC may need Form 502 and related nonresident-owner withholding. A foreign individual owner should not assume that a state filing address establishes, or eliminates, Virginia-source income.

Virginia’s pass-through rules provide withholding requirements and specific exceptions. Review owner residency, Virginia-source allocations, withholding credits, potential composite treatment and any separate owner return. Corporate treatment, employees and sales activity can create different obligations.

The 2026 amendments removed the sunset for Virginia’s elective pass-through entity tax. Older descriptions that end the election after tax year 2025 or 2026 are not reliable current guidance. Eligibility, a valid election and the distinction between Form 502 and Form 502PTET still need review; permanence does not make every LLC a PTET filer.

Local business licensing and BPOL obligations depend on the actual locality and activity. The SCC’s $50 annual registration fee does not cover these or settle federal and home-country tax.

  6. EIN and federal reporting

State privacy rules do not remove IRS disclosures

Apply for an EIN after the LLC is accepted. The IRS direct application is free. A responsible party abroad who cannot use the online tool should follow SS-4 and the applicable international route, including the allowed entry where the person has no eligible SSN or ITIN.

For a wholly foreign-owned US disregarded LLC, reportable owner transactions can require Form 5472 with a pro forma Form 1120, even without customer income. Owner funding and distributions deserve attention from the first year. The initial failure penalty is $25,000. Partnership or corporate classification changes the return and withholding analysis.

Current FinCEN guidance exempts US-created entities, including a Virginia LLC owned from abroad, from BOI reporting. A pre-existing entity created outside the US and registered in Virginia needs a separate analysis. Recheck current requirements and keep them distinct from SCC public filings and IRS duties.

  7. Banking and closing

Prepare evidence of the real business and close the record properly

Prepare the accepted articles, EIN confirmation, operating agreement, owner/controller identity documents and proof of actual residential and business addresses. Explain the operating countries, industry and expected transactions to the chosen bank or payment provider.

A provider can impose its own residence, industry and physical-address requirements. Virginia formation is not evidence that banks prefer the state, and a principal office permitted abroad by state law is not automatically accepted by every provider. Check eligibility before buying an address or assuming remote approval.

Keep the agent, annual payments and SCC account current. If closing voluntarily, use the current SCC termination or cancellation procedure for the entity and separately settle Virginia Tax, federal and home-country final filings. Stopping sales or allowing administrative cancellation is not a complete closure plan.

Questions

Questions about a Virginia LLC from abroad.

If yours is not here, email us at hello@baseacross.com.

Can I form a Virginia LLC without living in the US?

Generally yes for an ordinary LLC, subject to activity and other restrictions. You still need an eligible Virginia registered agent and accurate filings. Formation does not grant immigration status or guaranteed banking.

Can any Virginia friend be my registered agent?

No. Individual eligibility requires Virginia residence plus a qualifying statutory category and applicable service conditions. A qualifying commercial entity agent is another route. A local mailbox alone is insufficient.

Can the Virginia LLC principal office be outside Virginia?

Yes. The articles statute permits a principal office outside the Commonwealth. The registered office and agent must still meet Virginia requirements, and a bank can have additional address rules.

Does a Virginia LLC file an annual report?

No ordinary LLC annual report is required. It still pays a $50 annual registration fee starting the year after formation, normally by the end of the anniversary month.

Does a weekend extend the Virginia annual fee deadline?

The SCC says payment must be received by the deadline, including weekends and holidays. Pay early rather than assuming an automatic next-business-day extension.

What happens if the Virginia annual fee is not paid?

The SCC lists a $25 late penalty. Continued nonpayment can trigger automatic cancellation at the end of the third month after the due month. Check the actual record and current reinstatement instructions if delinquent.

Did Virginia PTET expire after 2026?

No. The 2026 amendments removed the sunset. The election still has eligibility and filing requirements; review the current Form 502 and Form 502PTET instructions for the actual entity and tax year.
