Wyoming Secretary of State
Limited Liability Company Articles of Organization

Lines anyone can read once the state files it.

Line 1 of 6

Name of the company

The form says
Name of the limited liability company.
What to write

Your chosen name and an LLC ending. Wyoming accepts LLC, L.L.C., Limited Liability Company, Limited Company, LC, L.C., Ltd. Liability Company, Ltd. Liability Co. and Limited Liability Co. It doesn't need to match your company at home.

Who can see it
Public. Anyone can open the filed articles from the state's Business Center, so assume every word on them can be read.
Sent back if
No LLC ending, or a name already on Wyoming's register. A different ending or punctuation doesn't make a name new.

Wyoming's Articles of Organization has 6 numbered lines, signed by an organizer.

02 · What isn't on it

What the articles don't say about you.

Most worry starts here. Neither state's form has a line for any of this.

  • Who owns the company. Neither form has a line for members, owners or ownership percentages.

  • Your passport, SSN or ITIN. There's no ID number of any kind on either form. You don't need a US number to file.

  • What the business does. Neither state asks for a business purpose on the form.

  • Who manages it. Member-managed or manager-managed is decided in your operating agreement, not on these forms.

  • How much money is in it. Neither form asks for capital, shares or bank details.

03 · After filing

What happens once it's filed?

The filing date becomes the company's birthday, and two deadlines run from it.

Wyoming files online articles as they arrive. The company is active the moment the state accepts it. The filed articles appear on the state's Business Center, where anyone can open them.
Same day
Delaware returns a stamped "Filed" copy.It takes two to three weeks. The company exists from the filing date, not the day the copy reaches you.
2–3 weeks
Wyoming's annual report is due on the anniversary. The first day of the month you formed in, from the next year. $60 at the minimum.
$60 a year
Delaware's annual tax is due every 1 June.$400 for an LLC, from the year after it's formed. Delaware LLCs file no annual report.
$400 a year
Keep the filed copy where you can find it.Banks and payment providers ask for it. Your EIN application uses the company's name exactly as it was filed.

04 · Something's wrong

Something's wrong. What now?

Each of these has a fix, and none of them ends the company.

There's a mistake in my articles.

File a fix with the state. In Wyoming it's articles of amendment, $60. In Delaware a mistake made at filing is fixed with a certificate of correction, $220. Anything else is a certificate of amendment, also $220. The company and its EIN stay the same.

Amending your articles

I want to change the company's name.

It's an amendment: $60 in Wyoming, $220 in Delaware. Then tell the IRS, your bank and your payment providers. We do it for $149 plus the state fee.

After a change of name

My bank says my name isn't on the articles.

That's normal in Wyoming and Delaware; neither form names owners. Send the operating agreement, which names the members, with your EIN letter. Some banks ask for a certificate of incumbency as well.

Certificate of incumbency

I can't find my articles.

In Wyoming, a plain copy is free: search the company on the state's Business Center and open the PDF icon beside the filing, where it shows one. A certified copy is $10. Delaware doesn't show documents in its free search. A certified copy is $50. We order one for $39 plus the state fee.

The documents you get

My home country wants them apostilled.

An apostille is the state's stamp that makes a US document valid abroad. It's issued by the state that filed the articles, on a certified copy. We order the copy and the apostille for $149, plus the state's fees, which we quote first.

What an apostille is

The state sent my filing back.

Read the reason; it's almost always one line. The usual ones are a name too close to another, a missing LLC ending, an agent's address with no suite number, a missing agent consent in Wyoming, or no printed name under the signature. Fix that line and file again.
